Greenlight® Smart Savings Terms of Service

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING AI SMART SAVINGS. THEY INCLUDE A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER.

1.  ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between Greenlight Financial Technology, Inc. ("Greenlight," "we," "us," or "our") and you ("you" or "your") governing your access to and use of the Greenlight AI Smart Savings service ("Smart Savings" or the "Service").

By accessing or using Smart Savings, creating an account, or clicking a button or checkbox indicating acceptance, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use Smart Savings.

If you are accessing Smart Savings as an existing Greenlight account holder, these Terms supplement and are in addition to the Greenlight Terms of Service that govern your existing account. In the event of any conflict between these Terms and the Greenlight Terms of Service solely with respect to Smart Savings, these Terms control.

2.  DEFINITIONS

The following defined terms apply throughout these Terms:

"Account"  means your Smart Savings account, created by registering with a valid email address or mobile phone number.

"Biller"  means any third-party company, service provider, or individual to whom you pay recurring bills or subscription fees, including without limitation cable, internet, wireless, streaming, and insurance providers.

"Connected Account"  means any financial account you link to Smart Savings through a third-party account aggregation service, including accounts linked through Plaid Technologies, Inc.

"Human Negotiation Specialist"  means a trained third-party contractor engaged by Greenlight to contact Billers on your behalf when AI-assisted negotiation is not successful.

"Negotiation"  means an attempt by Smart Savings, using automated AI analysis or a Human Negotiation Specialist, to contact a Biller on your behalf to request a rate reduction, credit, cancellation, or other modification to your service terms.

"Negotiation Outcome"  means the result of a Negotiation, which may include a rate reduction, account credit, service cancellation, no change, or any other response from the Biller.

"Personal Information"  means information that identifies or could reasonably be used to identify you, as further described in our Privacy Statement.

"Services"  means the AI-powered bill negotiation, bill cancellation, and spending insights features offered through Smart Savings, as described in Section 3.

"Uploaded Statement"  means any bank statement, bill, or financial document you voluntarily upload to Smart Savings.

3.  DESCRIPTION OF SERVICE

3.1  What Smart Savings Does

Smart Savings is a financial management service that, with your authorization, provides the following features:

  • Bill Negotiation: Smart Savings analyzes your Connected Accounts and Uploaded Statements to identify opportunities to reduce recurring bills and subscriptions. With your authorization, Smart Savings contacts identified Billers on your behalf to request rate reductions, credits, or improved terms.

  • Bill Cancellation: With your authorization, Smart Savings contacts Billers on your behalf to cancel bills or subscriptions you identify.

  • Spending Insights: Smart Savings analyzes transaction data from your Connected Accounts to provide information about your spending patterns and identify recurring charges.

3.2  Negotiation Methods

Smart Savings currently uses trained Human Negotiation Specialists to conduct Negotiations on your behalf. Greenlight may in the future incorporate AI-assisted negotiation tools to supplement or support the human negotiation process. Any introduction of AI-assisted negotiation will be disclosed to you in advance.

  • Human Negotiation: Where AI-assisted Negotiation is unsuccessful or not available for a particular Biller, Greenlight may assign a Human Negotiation Specialist to handle your Negotiation. Human Negotiation Specialists are third-party contractors, not Greenlight employees. See Section 8 for important disclosures about this service.

3.3  Supported Billers and Services

"Smart Savings currently supports Negotiations for recurring bills and subscriptions including but not limited to cable, internet, wireless, streaming, and insurance providers. Supported Billers and service categories are updated from time to time."Not all Billers or bill types are supported. 

3.4  What Smart Savings Does Not Do

Smart Savings is not a financial institution, bank, lender, or broker. Smart Savings does not:

  • Hold, transfer, or process funds on your behalf

  • Guarantee any particular Negotiation Outcome

  • Provide financial, legal, investment, or tax advice

  • Access your biller account credentials or make changes to your biller accounts other than as expressly authorized by you

  • Make binding financial commitments on your behalf without your review and approval

3.5  Service Modifications

Greenlight reserves the right to modify, suspend, or discontinue Smart Savings or any feature thereof at any time, with or without notice. Greenlight will use reasonable efforts to provide advance notice of material changes to the Service.

4.  ELIGIBILITY

To use Smart Savings, you must:

  • Be at least 18 years of age

  • Be a resident of the United States

  • Have the legal capacity to enter into a binding contract

  • Not be prohibited from using Smart Savings under applicable law

Smart Savings is not available to individuals under the age of 18. By using Smart Savings, you represent and warrant that you meet all eligibility requirements.

5.  YOUR REPRESENTATIONS AND WARRANTIES

By accessing or using Smart Savings, you represent and warrant to Greenlight that:

  • You meet all eligibility requirements set forth in Section 4

  • All information you provide to Greenlight is and will remain accurate, current, and complete

  • You are not subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), are not located in a country subject to U.S. government embargo, and are not listed on any U.S. government list of prohibited or restricted parties

  • Your use of Smart Savings does not and will not violate any applicable law, regulation, court order, or agreement to which you are a party

  • You are the account holder or authorized user for any financial account you connect to Smart Savings or for which you authorize a Negotiation

  • You are not using Smart Savings to conduct fraudulent, deceptive, or unlawful activity against any Biller or third party

  • You have the full legal authority to enter into these Terms and perform your obligations under them

These representations and warranties are made as of the date you first accept these Terms and are deemed repeated each time you use Smart Savings. A breach of any representation or warranty is grounds for immediate suspension or termination of your account under Section 15.3.

6.  ACCOUNT REGISTRATION

6.1  Creating an Account

To access Smart Savings, you must create an account. You may register using:

  • Google Sign-In: You may register using your Google account credentials, subject to Google's terms of service.

  • Mobile Phone Number: You may register using your mobile phone number. A one-time verification code will be sent to verify your number. Standard message and data rates may apply.

Existing Greenlight account holders may access Smart Savings using their existing Greenlight credentials.

6.2  Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Greenlight immediately of any unauthorized use of your account. Greenlight is not liable for any loss or damage arising from your failure to maintain the security of your account.

6.3  Account Information

You agree to provide accurate, current, and complete information when creating your account and to update that information as necessary to keep it accurate. Greenlight may suspend or terminate your account if information you provide is inaccurate, misleading, or incomplete.

7.  CONNECTED ACCOUNTS AND FINANCIAL DATA

7.1  Plaid Account Connection

Smart Savings uses Plaid Technologies, Inc. ("Plaid") to enable you to connect financial accounts. By connecting a financial account through Plaid, you authorize Greenlight and Plaid to access information from that account, including transaction history, account balances, and account details, for the following purposes:

  • Identifying recurring bills and subscriptions eligible for negotiation or cancellation

  • Providing spending insights and analysis

  • Verifying your account ownership for negotiation purposes

Your use of Plaid is subject to Plaid's Privacy Policy (plaid.com/legal) and End User Privacy Policy. By connecting your accounts, you also consent to Greenlight sharing necessary information with Plaid as described in our Privacy Statement.

7.2  Data Use and Retention

Greenlight uses data from your Connected Accounts solely for the purposes described in Section 6.1 and in our Privacy Statement. We retain Connected Account transaction data while your Smart Savings account is active and deleted within 30 days of account closure. You may disconnect your Connected Accounts at any time through Settings > Smart Savings > Connected Accounts.

7.3  Third-Party Account Terms

Your financial accounts are governed by your agreements with the applicable financial institutions. Connecting your accounts to Smart Savings does not alter those agreements. You are responsible for complying with your financial institution's terms of service.

8.  STATEMENT UPLOAD

8.1  Upload Feature

Smart Savings allows you to voluntarily upload bank statements, bills, or other financial documents to supplement your Connected Account data for bill identification and negotiation purposes. When you upload a document, Greenlight extracts and stores relevant transaction data from that document; the document itself is not retained. References to 'Uploaded Statements' in these Terms refer to this extracted transaction data.

8.2  Storage and Retention

Transaction data extracted from uploaded documents is stored securely by Greenlight for as long as your Smart Savings account is active, or until you request deletion. Upon account closure, this data will be deleted within 30 days.  You may request deletion by contacting Greenlight support at support@greenlight.com. Uploaded Statements are used solely for the purposes described in Section 7.1 and in our Privacy Statement.

8.3  Access to Uploaded Statements

Transaction data extracted from uploaded documents is accessed only by Greenlight's automated processing systems. Human Negotiation Specialists do not have access to extracted statement data. When a Human Negotiation Specialist handles your Negotiation, they receive only the biller name and the information you enter on the negotiation or cancellation request form for that Biller. The specific information on the form varies by Biller and is limited to what is necessary to complete your request.

8.4  Deletion of Uploaded Statements

You may delete your Uploaded Statements at any time through Settings > Smart Savings > Uploaded Documents. Upon account closure, Greenlight will handle your Uploaded Statements in accordance with our Privacy Statement and applicable law.

8.5  Your Representations

By uploading a statement, you represent that you have the right to provide that document to Greenlight and that the document relates to an account for which you are the account holder or authorized user.

9.  AUTHORIZATION TO ACT ON YOUR BEHALF

PLEASE READ THIS SECTION CAREFULLY

This section grants Greenlight and its service partners limited authority to contact your billers on your behalf. By initiating a Negotiation, you are appointing Greenlight as your limited agent for that purpose.

9.1  Grant of Limited Agency

By initiating a Negotiation through Smart Savings and confirming your authorization, you appoint Greenlight Financial Technology, Inc. and its authorized service partners as your limited agent solely for the purpose of contacting the identified Biller to request the specific negotiation outcome you have authorized (such as a rate reduction, credit, or cancellation). This agency is:

  • Limited to the specific Negotiation you authorize

  • Limited to the specific Biller and account you identify

  • Revocable by you at any time before the Negotiation has been assigned to a negotiation agent

  • Not an authorization to make binding financial commitments on your behalf, agree to new service terms, make payments, or take any other action beyond the specific Negotiation you approve

9.2  Review Before Submission

You are responsible for reviewing and confirming the accuracy of all information included in the Negotiation before authorizing submission. You may modify or cancel your Negotiation request at any time before it has been assigned to a negotiation agent. Once a Negotiation has been assigned to an agent and is in progress, Greenlight will proceed to contact the Biller on your behalf without requiring further approval from you. You will receive a confirmation by email when the Negotiation is complete, including whether it was successful..

9.3  Human Negotiation Specialists

When your Negotiation is handled by a Human Negotiation Specialist, you acknowledge and agree that:

  • The specialist is a third-party contractor engaged by Greenlight, not a Greenlight employee

  • The specialist will contact your Biller using information you have provided and authorized

  • The specialist has access only to the biller name and the information you enter on the negotiation or cancellation request form, as described in Section 8.3

  • Greenlight will provide the specialist with the same limitations on scope that apply under Section 8.1

9.4  Biller Consent and Account Terms

You represent and warrant that: (a) you are the account holder or authorized user for each account for which you initiate a Negotiation; (b) you have the authority to authorize Greenlight to contact your Biller on your behalf; and (c) your authorization of a Negotiation does not violate any agreement you have with your Biller.

10.  COMMUNICATIONS

10.1  Transactional Communications

Regardless of your communication preferences, Greenlight may send you transactional messages necessary to operate the Service, including Negotiation status updates, account security alerts, verification codes, and service notices. These messages are part of the Service and cannot be opted out of while you have an active Smart Savings account.

10.2  Email Insights and Updates

If you opt in at sign-up or in your account settings, Greenlight will send you weekly spending insights and Smart Savings updates by email. You may unsubscribe from these emails at any time by clicking the unsubscribe link in any email or by updating your preferences in Settings > Notifications.

10.3  Electronic Communications Consent

By using Smart Savings, you consent to receive communications from Greenlight electronically, including by email, in-app notification, and text message (where applicable). You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.

11.  IMPORTANT LIMITATIONS AND DISCLAIMERS

PLEASE READ THIS SECTION CAREFULLY — IT LIMITS GREENLIGHT'S RESPONSIBILITY FOR NEGOTIATION OUTCOMES

Smart Savings contacts your billers on your behalf, but outcomes depend on your biller's decisions, which are outside Greenlight's control. Greenlight does not guarantee any savings, rate reduction, credit, or other result.

11.1  No Guarantee of Outcomes

Greenlight makes no guarantee, warranty, or representation of any kind regarding any Negotiation Outcome, including any savings, rate reduction, credit, cancellation, or other result. Negotiation success depends entirely on decisions made by your Biller, which are outside Greenlight's control. Past Negotiation outcomes by Greenlight or any other user are not indicative of future results for any particular account or Biller.

11.2  Potential Consequences of Negotiations

You understand and agree that Negotiations may have unintended consequences, including without limitation:

  • Early termination fees, contract penalties, or other charges imposed by your Biller

  • Changes to your service tier, speed, features, or promotional rate

  • Loss of bundled discounts or promotional pricing

  • Account holds, reviews, or other actions by your Biller

You are solely responsible for understanding your Biller's terms of service, contract, and applicable fees before authorizing a Negotiation. Greenlight is not responsible for any fees, penalties, service changes, or other consequences resulting from a Negotiation conducted on your behalf.

11.3  AI Limitations

Smart Savings AI analyzes information you provide and publicly available information about Billers. The AI may not have access to or awareness of:

  • All current terms, promotions, or conditions specific to your account with a Biller

  • Contractual obligations, minimum terms, or early termination provisions in your agreement with a Biller

  • Changes to Biller policies or programs that have occurred since our most recent data update

You are responsible for reviewing and confirming the accuracy of all account information before authorizing a Negotiation.

11.4  Human Negotiation Specialist Limitations

Human Negotiation Specialists are trained to negotiate common recurring bill types but are not financial advisors, legal counsel, or consumer protection attorneys. Their services are provided on an as-is basis and subject to the same limitations on outcomes described in Section 11.1.

11.5  Not Financial Advice

Nothing in Smart Savings or these Terms constitutes financial, investment, legal, or tax advice. Spending insights, bill analyses, and negotiation recommendations are informational only. Consult a qualified professional for advice specific to your financial situation.

11.6  Third-Party Services

Smart Savings uses third-party service providers, including negotiation specialists, to deliver certain features of the Service. Greenlight remains responsible to you for the delivery of Smart Savings under these Terms regardless of which service provider performs the underlying work. Greenlight's use of third-party providers does not limit your rights under these Terms or reduce Greenlight's obligations to you.

12.  FREE SERVICE; FUTURE PRICING

12.1  Current Free Offering

Smart Savings is currently offered free of charge. No subscription, payment, or credit card is required to access the features described in Section 3 during the current free service period.

12.2  Future Changes to Pricing

Greenlight may in the future introduce paid subscription tiers, per-use fees, or other charges for access to Smart Savings or premium Smart Savings features. Before any such change:

  • Greenlight will provide you with advance notice of at least 30 days by email or in-app notification

  • Greenlight will clearly disclose the pricing, what is included, and how to cancel before any charge is made

  • You will not be charged without your affirmative consent to the applicable paid terms

12.3  Greenlight Subscription

Greenlight may offer you the opportunity to subscribe to the full Greenlight family financial service ("Greenlight Subscription"). A Greenlight Subscription is a separate product with its own terms, conditions, and pricing. You are not required to subscribe to Greenlight to use Smart Savings during the free service period. If you choose to subscribe to Greenlight, your use of the Greenlight service will be governed by the Greenlight Terms of Service.

13.  INTELLECTUAL PROPERTY

13.1  Greenlight's Intellectual Property

Smart Savings, including its software, algorithms, design, content, and all associated intellectual property, is owned by Greenlight Financial Technology, Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in Smart Savings or any rights beyond the limited license to use the Service as described herein.

13.2  Limited License

Greenlight grants you a limited, non-exclusive, non-transferable, revocable license to access and use Smart Savings for your personal, non-commercial purposes in accordance with these Terms.

13.3  Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of Smart Savings or its underlying technology

  • Reverse engineer, decompile, or attempt to extract the source code of Smart Savings

  • Use Smart Savings for any commercial purpose or on behalf of any third party without Greenlight's written consent

  • Remove or alter any proprietary notices, labels, or marks on Smart Savings

13.4  Third-Party Trademarks

Company names, logos, and brand identifiers displayed in Smart Savings to identify your Billers are the property of their respective owners. Such display is for identification purposes only and does not imply any affiliation with, endorsement by, or sponsorship of Smart Savings by those companies.

13.5  Feedback

If you provide Greenlight with any feedback or suggestions regarding Smart Savings, you grant Greenlight a non-exclusive, royalty-free, perpetual, worldwide license to use such feedback for any purpose without compensation or attribution to you.

14.  PRIVACY AND DATA PRACTICES

Your use of Smart Savings is subject to Greenlight's Privacy Statement, available at privacy.greenlight.com/policies (the "Privacy Statement"), which is incorporated into these Terms by reference. The Privacy Statement describes Greenlight's general data collection, use, sharing, and retention practices. By using Smart Savings, you consent to the collection, use, and sharing of your Personal Information as described in the Privacy Statement and in this Section 14.

This Section 14 provides additional disclosures specific to Smart Savings that supplement the Privacy Statement. In the event of any conflict between this Section 14 and the Privacy Statement solely with respect to Smart Savings, this Section 14 controls.

14.1  Information We Collect Through Smart Savings

In addition to the categories of Personal Information described in the Privacy Statement, Smart Savings collects or receives the following information:

What We Collect and Why

Connected Account Data (via Plaid)

When you connect financial accounts through Plaid Technologies, Inc., we receive transaction history, account balances, account identifiers, and recurring charge information from those accounts. For Smart Savings, this data is used to identify recurring bills and subscriptions that may be eligible for negotiation or cancellation, and to generate spending insights. This use of Plaid is in addition to any existing use of Plaid to fund your Greenlight card account.

Uploaded Financial Documents

If you choose to upload bank statements, bills, or other financial documents, we extract and store transaction records identified from those documents. The original document is not retained.. Uploaded documents are used solely to identify bills for negotiation and to provide spending insights.

Biller Account Information

When you initiate a Negotiation, we collect the name of the Biller, your account identifier with that Biller (such as account number or service address), your current rate or charges. The specific information collected varies by Biller and is limited to what is entered on the negotiation or cancellation request form.  This information is used to conduct the Negotiation on your behalf.

Negotiation Communications

We may retain records of communications made on your behalf to Billers as part of a Negotiation, including the content of those communications and the Biller's responses, for purposes of providing the Service, resolving disputes, and improving our AI and human negotiation capabilities.

Account Registration Data

When you register for Smart Savings using a phone number, we collect that phone number as your account identifier and use it to authenticate your identity via one-time verification code. When you register using Google Sign-In, we receive your Google-verified identity information including name and email address.

14.2  How We Use Smart Savings Information

In addition to the general purposes described in the Privacy Statement, information collected through Smart Savings is used for the following purposes:

  • Bill negotiation and cancellation: To identify eligible bills and subscriptions, develop negotiation strategies, communicate with Billers on your behalf, and deliver Negotiation Outcomes to you.

  • Spending insights: To analyze transaction patterns from your Connected Accounts and Uploaded Statements and present you with information about your recurring charges and spending.

  • AI model improvement: Transaction data, negotiation outcomes, and user feedback may be used, in de-identified or aggregated form, to train and improve Greenlight's AI negotiation models and analytical tools, including future AI tools.

  • Service communications: To send you transactional updates about your Negotiations, account activity, and Smart Savings service notices.

  • Marketing communications (with your consent): If you have opted in, to send you weekly spending insights, Smart Savings updates, and information about Greenlight products and services that may interest you.

14.3  How We Share Smart Savings Information

In addition to the sharing practices described in the Privacy Statement, Smart Savings involves the following specific data sharing:

Account connection credentials and authorization tokens necessary to access your Connected Account data. Plaid's use of this information is governed by Plaid's Privacy Policy (plaid.com/legal). Greenlight does not share your full account credentials with Plaid beyond what is necessary to establish and maintain the authorized connection.

Human Negotiation Specialists

When your Negotiation is handled by a Human Negotiation Specialist, that specialist — a trained third-party contractor engaged by Greenlight — receives the biller name and the information you enter on the negotiation or cancellation request form for that Biller. The specific information on the form varies by Biller and is limited to what is necessary to complete your request. Human Negotiation Specialists do not have access to your transaction history, extracted statement data, bank account credentials, or login information for any Connected Account.

Billers

When a Negotiation is initiated, Greenlight shares your name, account identifier, and the specific negotiation request with the identified Biller on your behalf, as authorized by you under Section 8. Greenlight does not share your full financial account data or the details of your other accounts with Billers.

AI Service Providers

Negotiation outcomes are shared in de-identified or aggregated form with AI model providers to train and improve Greenlight's negotiation and analytical capabilities. Greenlight uses contractual safeguards to prevent re-identification of de-identified data by these providers.

14.4  Extracted Transaction Data Retention and Deletion

Uploaded Statements are among the most sensitive Personal Information you may provide to Greenlight. The following specific practices apply:

  • Retention period: Transaction data extracted from uploaded documents is retained while your Smart Savings account is active and deleted within 30 days of account closure. Greenlight does not retain this data for any purpose after your account is closed.

  • Access controls: Access to extracted transaction data is limited to Greenlight's automated processing systems. Human Negotiation Specialists do not have access to extracted transaction data — they receive only the information entered on the negotiation or cancellation request form for the specific Biller.. Uploaded Statements This data is not accessible to Greenlight's marketing or advertising functions.

  • User deletion: Transaction data extracted from uploaded documents is currently retained in Greenlight's systems for as long as your Smart Savings account is active. You may request deletion of this data by contacting Greenlight support at support@greenlight.com. Greenlight will process deletion requests within 30 days. Greenlight intends to introduce self-service deletion functionality in a future product update.

  • Account closure: If you close your Smart Savings account, Greenlight will delete your Smart Savings transaction data — including data from connected accounts and extracted from uploaded documents — within 30 days of account closure, except where retention is required by applicable law or to resolve a pending Negotiation dispute.

14.5  Connected Account Data Retention and Disconnection

The following practices apply to data received from your Connected Accounts:

  • Active connection: While your account is connected, Greenlight refreshes transaction and balance data from your Connected Accounts as necessary to provide the Service. The frequency of data refresh depends on the features you are using.

  • Disconnection: Upon disconnection, Greenlight will cease pulling new data from that account. Historical transaction data already retrieved will be retained until your Smart Savings account is closed, at which point it will be deleted within 30 days. If you have a pending Negotiation at the time of disconnection, Greenlight will retain only the transaction data necessary to complete that Negotiation.

  • Account closure: Upon closure of your Smart Savings account, Greenlight will handle Connected Account data in accordance with the Privacy Statement's Data Retention section and applicable law.

14.6  Your Privacy Rights With Respect to Smart Savings Data

The privacy rights described in the Privacy Statement — including your rights to access, correct, delete, and opt out of sale or sharing of your Personal Information — apply to information collected through Smart Savings. To exercise these rights with respect to Smart Savings data, including requesting deletion of your Uploaded Statements or Connected Account transaction data, you may:

  • Submit a request through the form at privacy.greenlight.com/policies

  • Contact Greenlight's Privacy Officer at caprivacy@greenlight.com

  • Contact Greenlight support at support@greenlight.com to request deletion of your Smart Savings transaction data, as described in Sections 14.4 and 14.5 above

Greenlight will respond to verifiable privacy rights requests in accordance with applicable law, including the California Consumer Privacy Act (CCPA) and other applicable state privacy laws. Please note that certain Smart Savings data, including records of completed Negotiations, may be subject to retention obligations under applicable law or these Terms that limit Greenlight's ability to delete all requested data.

14.7  Smart Savings and GLBA

Personal information you provide in connection with Smart Savings that is used in connection with financial products or services may be subject to the Gramm-Leach-Bliley Act (GLBA) and applicable state financial privacy laws. Greenlight's Consumer Privacy Disclosure, referenced in the Privacy Statement, describes how Greenlight handles nonpublic personal financial information under GLBA. The financial account data Greenlight receives through Plaid in connection with Smart Savings, and any information contained in Uploaded Statements, constitutes nonpublic personal financial information subject to GLBA protections.

14.8  Children

Smart Savings is not intended for individuals under the age of 18. Greenlight does not knowingly collect Personal Information from individuals under 18 through Smart Savings. If you believe Greenlight has inadvertently collected information from a minor through Smart Savings, please contact us at caprivacy@greenlight.com and we will delete that information promptly.

14.9  Updates to Privacy Practices

If Greenlight materially changes its data practices with respect to Smart Savings — including changes to the categories of information collected, the purposes for which it is used, or the third parties with whom it is shared — Greenlight will update this Section 14 and notify you by email or in-app notification before the changes take effect. Your continued use of Smart Savings after the effective date of any such change constitutes your acceptance of the updated practices.

15.  USER CONDUCT

You agree not to use Smart Savings in any way that:

  • Violates any applicable law or regulation

  • Provides false, inaccurate, or misleading information about yourself, your accounts, or your Billers

  • Attempts to manipulate, defraud, or interfere with Billers or third parties

  • Attempts to gain unauthorized access to Smart Savings or its systems

  • Infringes the intellectual property rights of Greenlight or any third party

  • Transmits viruses, malware, or other harmful code

  • Harasses, threatens, or harms any person

  • Uses Smart Savings for any commercial purpose without Greenlight's written permission

Greenlight reserves the right to suspend or terminate your account and access to Smart Savings for any violation of these conduct standards.

16.  TERMINATION

16.1  Termination by You

You may terminate your Smart Savings account at any time by contacting Greenlight support at support@greenlight.com. Greenlight will process your account termination request promptly.

16.2  Effect of Termination on Pending Negotiations

If you terminate your account while a Negotiation is pending, Greenlight will use reasonable efforts to cancel the pending Negotiation. However, if a Negotiation has already been submitted to a Biller, Greenlight may not be able to recall it and Greenlight is not responsible for any Negotiation Outcome that occurs after your termination request.

16.3  Termination by Greenlight

Greenlight may suspend or terminate your access to Smart Savings at any time, with or without cause, including if you violate these Terms, provide false information, or if Greenlight discontinues the Service. Greenlight will use reasonable efforts to notify you before termination except where immediate termination is necessary to protect Greenlight, other users, or third parties.

16.4  Effect of Termination on Data

Upon termination, Greenlight will handle your Personal Information and Uploaded Statements in accordance with our Privacy Statement and applicable law. You may request deletion of your data as described in the Privacy Statement. Certain data may be retained as required by law or for legitimate business purposes, including resolution of disputes and enforcement of these Terms.

The following sections survive termination: Sections 2 (Definitions), 10 (Important Limitations and Disclaimers), 12 (Intellectual Property), 13 (Privacy and Data Practices), 16 (Disclaimers of Warranty), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution, Arbitration, Jury Trial Waiver), 20 (Governing Law), and 21 (General Provisions).

17.  DISCLAIMERS OF WARRANTY

Smart Savings is provided on an 'as is' and 'as available' basis. Greenlight makes no warranties about negotiation outcomes, savings, or the availability of the service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement

  • Any warranty that Smart Savings will meet your requirements or expectations

  • Any warranty that Smart Savings will be uninterrupted, timely, secure, or error-free

  • Any warranty regarding the accuracy, completeness, or reliability of any information provided through Smart Savings, including spending insights and negotiation analyses

  • Any warranty that any Negotiation will be successful or result in savings, credits, or any particular outcome

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In those jurisdictions, Greenlight's warranties are limited to the minimum extent permitted by applicable law.

18.  LIMITATION OF LIABILITY

IMPORTANT — THIS SECTION LIMITS GREENLIGHT'S FINANCIAL LIABILITY TO YOU

Please read carefully. This section limits what Greenlight can owe you in connection with Smart Savings.

18.1  Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR:

  • Lost profits, revenue, savings, or business

  • Loss of data or goodwill

  • Costs of substitute services

  • Any Negotiation Outcome, including fees, penalties, or service changes imposed by a Biller

  • Any failure of a Negotiation to achieve the desired result

EVEN IF GREENLIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18.2  Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO SMART SAVINGS OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO GREENLIGHT FOR SMART SAVINGS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

18.3  Basis of the Bargain

You acknowledge that the limitations of liability in this Section 18 are a fundamental element of the basis of the bargain between Greenlight and you. Greenlight would not be able to provide Smart Savings on the terms offered without these limitations.

19.  INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Greenlight, its affiliates, officers, directors, employees, agents, and service partners from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of Smart Savings in violation of these Terms

  • Your violation of any applicable law or regulation

  • Any information you provide to Greenlight that is false, inaccurate, or misleading

  • Any claims by your Billers arising from a Negotiation you authorized

Any claims by third parties arising from your use of Smart Savings

20.  DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS

This section requires you to resolve most disputes with Greenlight through individual binding arbitration rather than in court, and waives your right to participate in a class action. You have the right to opt out within 30 days of first accepting these Terms — see Section 20.6.

20.1  Informal Resolution

These Terms are governed by the Federal Arbitration Act and federal arbitration law. Before initiating any formal dispute process, you and Greenlight agree to first attempt to resolve any dispute informally for at least 30 days (the "Initial Dispute Resolution Period"). That period begins upon receipt of written notice from the party raising the dispute.

If Greenlight has a dispute with you, it will send notice to your registered email address. If you have a dispute with Greenlight, you must notify us in writing at support@greenlight.com using the subject line "Initial Dispute Resolution Notice." Your notice must be individual to you and must include: (a) your name; (b) the email address associated with your Smart Savings account; (c) your cell phone number; (d) your residential mailing address; (e) a description of the dispute and the facts underlying it; and (f) what you want Greenlight to do to resolve it. A notice missing any of this information is not valid, will not start the Initial Dispute Resolution Period, and will not allow either party to initiate arbitration.

The parties shall use good faith efforts to resolve the dispute during the Initial Dispute Resolution Period. Completion of this process is a precondition to initiating arbitration. If either party commences arbitration without completing this process, you and Greenlight authorize the arbitration provider or arbitrator to suspend the arbitration until the party that initiated it complies.

20.2  Binding Arbitration

If a dispute cannot be resolved during the Initial Dispute Resolution Period, either party may elect to have the dispute finally and exclusively resolved by binding individual arbitration. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA Consumer Arbitration Rules in effect when the notice of dispute is delivered (the "AAA Rules"), available at www.adr.org/consumer, as modified by these Terms. If, for any reason, AAA is unable to provide the arbitration, either party may file with any national arbitration provider that handles consumer arbitrations following procedures substantially similar to the AAA Rules.

If the amount of a dispute does not exceed $25,000, the dispute may be resolved through document submission only ("desk arbitration") without in-person or telephonic hearings, though any party may request a hearing and the arbitrator may also determine a hearing is necessary. Arbitration hearings will be conducted by videoconference unless the arbitrator determines an in-person hearing is necessary, in which case the parties will work together to select a mutually convenient location. The arbitrator's decision must follow applicable law, will be made in writing, and shall be final and binding. Any award may be entered in any court of competent jurisdiction.

20.3  Class Action Waiver

YOU AND GREENLIGHT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

If this class action waiver is found unenforceable for any reason, the entire dispute resolution and arbitration section of these Terms (and only that section) shall be null and void.

20.4  Arbitration Fees

Under the AAA Consumer Arbitration Rules, if Greenlight initiates arbitration, Greenlight will be responsible for all AAA administrative fees. If you initiate arbitration, you will be required to pay your portion of the non-refundable initial filing fee; Greenlight will pay the remainder of AAA's administrative fees, including case management fees, hearing fees, and arbitrator fees. Each party is otherwise responsible for its own attorneys' fees and expenses. If your claim is for $10,000 or less and you are the claimant, Greenlight will pay all AAA filing fees.

20.5  Exceptions

The following disputes are not subject to arbitration: (a) disputes relating to the enforcement or validity of Greenlight's intellectual property rights; and (b) disputes qualifying for small claims court brought on an individual basis. If an arbitration is filed before a small claims court action, either party may send written notice to the opposing party and AAA that it wants the case decided by small claims court, after which AAA may close the case.

20.6  Right to Opt Out

You may opt out of the arbitration and class action waiver in this Section 20 by mailing a written opt-out notice to Greenlight within 30 days of the date you first accept these Terms. Your notice must include your name, the email address associated with your Smart Savings account, your cell phone number, your residential mailing address, and a clear statement that you wish to opt out of arbitration. 20.7  Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND GREENLIGHT EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR SMART SAVINGS. THIS WAIVER APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CLASS ACTION TREATMENT IS AVAILABLE.

20.8  Confidentiality of Proceedings

Arbitration proceedings conducted under this Section 20 shall be as confidential and private as permitted by applicable law. Except as required by law or regulation, neither party shall disclose the existence, content, or results of any arbitration conducted under these Terms. Materials submitted in connection with arbitration proceedings shall not be admissible in any other proceeding. Nothing in this section prevents either party from disclosing arbitration proceedings to its accountants, legal counsel, professional advisors, or regulatory authorities.

21.  GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising out of or relating to Smart Savings are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. For disputes not subject to arbitration under Section 20, you and Greenlight consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.

22.  GENERAL PROVISIONS

22.1  Entire Agreement

These Terms, together with the Privacy Statement incorporated by reference, constitute the entire agreement between you and Greenlight with respect to Smart Savings and supersede all prior or contemporaneous agreements, representations, or understandings regarding Smart Savings. If you are an existing Greenlight account holder, these Terms supplement your existing Greenlight Terms of Service.

22.2  Amendments

Greenlight may update these Terms at any time by posting a revised version at [TERMS URL — POPULATE BEFORE PUBLISHING] and notifying you by email or in-app notification. Updates to these Terms will be effective upon the date specified in the notice, which will be no less than 14 days after notification except for changes required by law or to address security concerns. For changes to any paid subscription terms, Greenlight will provide no less than 30 days advance notice. Your continued use of Smart Savings after the effective date of any update constitutes your acceptance of the updated Terms. If you do not agree to an update, you must stop using Smart Savings before the effective date.

22.3  Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

22.4  Waiver

Greenlight's failure to enforce any provision of these Terms will not be deemed a waiver of that provision or Greenlight's right to enforce it in the future.

22.5  Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Greenlight's prior written consent. Greenlight may freely assign these Terms in connection with a merger, acquisition, sale of assets, or other corporate transaction.

22.6  No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Nothing in these Terms confers any rights or remedies on any person other than you and Greenlight.

22.7  Force Majeure

Greenlight is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, government action, labor disputes, or failures of third-party infrastructure.

22.8  Relationship of the Parties

Greenlight and you are independent parties. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Greenlight, except for the limited agency expressly granted in Section 9 for the specific purpose of conducting Negotiations on your behalf. Nothing in these Terms shall be construed to make either party an agent, employee, franchisee, or legal representative of the other for any purpose beyond the scope of Section 8.

22.9  Electronic Communications

By using Smart Savings, you consent to receive these Terms and all notices, disclosures, and communications from Greenlight electronically, including by email, in-app notification, and text message where applicable. Electronic communications satisfy any legal requirement that such communications be in writing. If you prefer to receive a paper copy of these Terms, contact Greenlight at the address in Section 22.10.
