IMPORTANT NOTICE: PLEASE READ THIS SERVICE AGREEMENT CAREFULLY BEFORE USING THE GREENLIGHT SERVICES. THIS SERVICE AGREEMENT CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT MAY SIGNIFICANTLY AFFECT YOUR RIGHTS.
1. INTRODUCTION AND OVERVIEW
1.1 About This Service Agreement
This Service Agreement ("Service Agreement") is a legally binding agreement between you and Greenlight Financial Technology, Inc. ("Greenlight," "we," "our," or "us") that governs your use of the Greenlight Services, as described below. This Service Agreement is a complete, standalone agreement that governs dispute resolution, governing law, limitation of liability, Electronic Communications Consent and other legal provisions applicable to all Greenlight customers. These provisions are set forth exclusively in this Service Agreement and are not contained in any separate document.
1.2 What This Service Agreement Covers
This Service Agreement covers your subscription relationship with Greenlight, including:
Your subscription plan, the features and benefits included with that plan and any applicable monthly or annual subscription fee.
Features available to you without completing identity verification (KYC)
Features that require identity verification and/or enrollment in a Greenlight Card
Third-party services provided as part of your subscription plan (safety features, identity monitoring, data removal, insurance coverage)
Billing, payment, and subscription management
This Service Agreement does not govern the Greenlight Prepaid Mastercard. If you elect to enroll in the Greenlight Prepaid Mastercard program, you will be directed to complete identity verification (KYC) and open a Card Account with Community Federal Savings Bank ("CFSB"). At that time, CFSB will present you with the Greenlight Cardholder Agreement ("Cardholder Agreement"), a separate, standalone agreement directly between you and CFSB that exclusively governs your Card, Card Account, and banking relationship with CFSB. The Cardholder Agreement is not incorporated into, and does not incorporate, this Service Agreement, and entering into the Cardholder Agreement establishes a distinct contractual relationship with CFSB separate from your Greenlight subscription relationship.
For clarity, this Service Agreement does not create, modify, interpret, or terminate any rights or obligations under the Cardholder Agreement or with respect to any Card or Card Account.
2. DEFINITIONS
For purposes of this Service Agreement the following terms shall have the meanings set forth below. Defined terms used in the singular include the plural and vice versa, and references to any statute or regulation shall include any successor statute or regulation as amended from time to time.
"Application" means the Greenlight software program application accessed from a mobile phone, tablet, via our website or any other electronic devices which connects to the internet.
"Authorized Approver" means a designee of the Primary Accountholder, typically a spouse, partner, or close family relative, who is granted certain rights and responsibilities with respect to the Greenlight Account as described in Section 6.
“Card” or “Greenlight Card” means the Greenlight Prepaid Mastercard issued to the Primary Accountholder by Community Federal Savings Bank for a Secondary Cardholder’s and a Supported Adult's use and governed by the terms and conditions of the Community Federal Savings Bank Cardholder Agreement, a separate, standalone agreement between the Primary Accountholder and Community Federal Savings Bank that is not incorporated into, and does not incorporate, this Service Agreement.
“Card Account” means the prepaid card account relationship established with Community Federal Savings Bank if you elect to enroll in the Greenlight Prepaid Mastercard program, as governed exclusively by the Cardholder Agreement.
“Dispute” means any dispute, claim or controversy (except those specifically exempted below)
"Full Access State" means the account state of a Greenlight Account where the Primary Accountholder has completed KYC and enrolled in a Greenlight Card, in addition to holding an active Subscription Plan.
"Greenlight Account" means the account established in the Application through which the Greenlight Services are provided, which may exist in a Subscription-Only State or a Full Access State as described in Section 4.
“Greenlight Services” means the terms under which you agree to use the services, products, features, functions, technologies, or content including the Greenlight subscription services offered on the Website, the Application, and all related sites and applications, regardless of how accessed, including by computer, mobile phone, tablet or any other device.
"Know Your Customer" (KYC) means the identity verification process required by CFSB in connection with enrollment in a Greenlight Card, as described in the Cardholder Agreement
"Primary Accountholder" means the individual who opens and is responsible for the Greenlight Account and any associated Secondary Accounts and Supported Adult Accounts.
"Secondary Cardholder" means any child or other individual for whom the Primary Accountholder serves as a legal guardian, custodian, or trustee and who is authorized by the Primary Accountholder to use features of the Greenlight Services.
"Subscription Fee" means the monthly or annual fee payable by the Primary Accountholder for the applicable Subscription Plan, as set forth in Section 8 and the Fee Schedule.
"Subscription-Only State" means the status of a Greenlight Account in which the Primary Accountholder has selected a Subscription Plan regardless of whether or not a Subscription Fee is payable or has been paid, but has not yet completed identity verification (KYC) or enrolled in a Greenlight Card.
"Subscription Plan" means the plan tier selected by the Primary Accountholder — Greenlight Core Plan, Greenlight Max Plan, Greenlight Infinity Plan, or Greenlight Family Shield Plan — and the corresponding features and monthly or annual subscription fee.
"Supported Adult" means an individual who meets the eligibility criteria in Section 7 and has been added to the Greenlight Family Shield Plan by the Primary Accountholder.
"Website" means www.greenlight.com.
3. SUBSCRIPTION PLANS AND FEATURES
3.1 Available Plans
Greenlight offers four subscription plans. The features described below are available to customers in the Subscription-Only State unless otherwise noted. Features marked with [CARD REQUIRED] are only available to customers in the Full Access State who have completed KYC and enrolled in a Greenlight Card.
3.2 Greenlight Core Plan
The Greenlight Core Plan includes the following subscription-level features:
Features marked “[CARD REQUIRED]” are Greenlight subscription features that require enrollment in a Greenlight Card to be used. The availability of any Card, Card Account, or related banking service remains governed exclusively by the Cardholder Agreement.

3.6 Select Plans and Legacy Plans
In addition to the four plans described above, Greenlight offers the following restricted plans that are not available for general enrollment:

4. ACCOUNT STATES: SUBSCRIPTION-ONLY AND FULL ACCESS
4.1 Subscription-Only State Limitations
When you enroll in a Subscription Plan and pay the applicable Subscription Fee, your Greenlight Account will enter the Subscription-Only State. During the Subscription-Only State, you may access and use the subscription features and benefits included with your selected Subscription Plan except for any features or functionality expressly identified as requiring an active Greenlight Card or otherwise marked [CARD REQUIRED]. Access to subscription features is subject to your Subscription Plan remaining active and in good standing, including timely payment of all applicable Subscription Fees. Greenlight may modify, add, or discontinue subscription features from time to time as described in this Service Agreement.
While your Greenlight Account is in the Subscription-Only State, you will not have access to the Greenlight Card or any products, services, or functionality that require an active Greenlight Card. Unless otherwise stated, Card dependent features include, but are not limited to: making purchases or saving through a Greenlight Card, ATM access, Invest Account Services, Greenlight Savings Reward and Cash Back to Savings rewards, Automated Allowance Payments, Pay Link, payroll direct deposit, and receiving or redeeming Greenlight Gift receipt.
Features designated [CARD REQUIRED] may remain visible within the Application for informational purposes. If you attempt to access one of these features while in the Subscription-Only State, you will be prompted to complete any required identity verification, satisfy applicable eligibility requirements, and enroll in a Greenlight Card before the feature can be activated and used.
Choosing not to enroll in a Greenlight Card does not affect your Subscription Plan or reduce your access to the subscription features included with your selected plan tier that do not require a Greenlight Card. You will continue to have access to those subscription features for as long as your Subscription Plan remains active and in good standing. Greenlight may update the list of Card-dependent features from time to time as new products and services become available or existing features change.
4.2 Transitioning to Full Access State
You may elect to add a Greenlight Card to your subscription at any time by selecting the Card enrollment option in the Application. Card enrollment requires completion of the identity verification process (KYC) as described in the Cardholder Agreement. Upon successful completion of KYC and Card enrollment, your account will transition to the Full Access State and all features for your plan tier will become available.
Electing to add a Greenlight Card initiates a separate relationship directly with CFSB. Completing KYC and accepting the Cardholder Agreement are actions you take with CFSB, independent of your Greenlight subscription. As described in the Privacy section of this Service Agreement, information you previously provided to Greenlight will be shared with CFSB at the time you elect to open this relationship, and only at that time.
Nothing in this Service Agreement guarantees approval for, continued availability of, or continued access to any Card or Card Account.
4.3 Subscription-Only State and Third-Party Services
The following third-party services activate at subscription and are available in the Subscription-Only State for eligible plan tiers, regardless of Card enrollment:

5. REPRESENTATIONS AND WARRANTIES
By using the Greenlight Services, the Primary Accountholder represents and warrants that:
(i) The Primary Accountholder is a natural person at least eighteen (18) years of age (or older if residing in a state where the age of majority is older than eighteen (18));
(ii) Any Authorized Approver and any Supported Adult are also at least eighteen (18) years of age;
(iii) Access to or use of the Greenlight Services does not violate applicable laws;
(iv) All information provided to Greenlight in connection with account registration is true, correct, and complete;
(v) Any Secondary Cardholders, which may include minors, are eligible to use the Greenlight Services pursuant to this Service Agreement.
By signing up a Secondary Cardholder, the Primary Accountholder represents and warrants that any identifying information submitted regarding the Secondary Cardholder's identity is true, correct, and complete.
By signing up a Supported Adult, both the Primary Accountholder and the Supported Adult represent and warrant that any identifying information submitted regarding the Supported Adult's identity is true, correct, and complete.
7. SUPPORTED ADULT
7.1 Eligibility
Each Primary Accountholder on the Family Shield Plan may add up to two (2) Supported Adults who meet the following criteria:
(1) The individual must be at least eighteen (18) years old;
(2) The Primary Accountholder must either be a family member or serve as a legal guardian, custodian, trustee, caregiver, or trusted contact for the individual; and
(3) The Primary Accountholder must actively provide care, supervision, and/or support to assist the individual in managing their financial affairs.
7.2 Supported Adult Features and Exclusions
Unless this Service Agreement specifies otherwise, a Supported Adult will have access to the subscription-level features of the Family Shield Plan. The following features are not available to Supported Adults:
Automated allowance payments
Chores management
Greenlight Gift functionality
Invest Account Services
Parent Paid Interest
Pay Link functionality
Payroll direct deposit
Promotional Programs
Purchase Protection (unless the Supported Adult has been issued a Card)
7.3 Financial Impact Notice
Any funds distributed to a Supported Adult Account, or applied for a Supported Adult's benefit, could negatively affect their eligibility to receive various needs-based benefits (e.g., Medicaid, disability income/pensions) and/or have adverse tax consequences not otherwise anticipated. Any impact to the Supported Adult and their benefit eligibility will vary by their particular circumstances. Please consult with a tax and/or legal advisor before accepting any benefits, including the transfer of any funds, through a Supported Adult Account.
7.4 Primary Accountholder Responsibility
By designating a Supported Adult, the Primary Accountholder: (1) represents that the Supported Adult is over the age of eighteen (18); and (2) agrees to accept full responsibility for the Supported Adult's use of the Greenlight Services. The Primary Accountholder may revoke the Supported Adult's participation at any time through the Application.
8. SUBSCRIPTION BILLING
8.1 Subscription Fee
The Subscription Fee for each Subscription Plan is set forth at greenlight.com/fee-disclosures. Greenlight reserves the right to modify the Subscription Fee for any Subscription Plan upon prior notice to you, as required by applicable law and as described in Section 15 (Amendments and Customer Notice) of this Service Agreement. Any changes will apply prospectively unless otherwise required by law.
The applicable Subscription Fee will be displayed before the customer selects and purchases any Subscription Plan. Greenlight may offer monthly or annual pricing. Applicable pricing and fee disclosures will be displayed in the Application or other enrollment mechanism. Pricing may be changed subject to applicable notice and legal requirements.
Annual subscription pricing, where offered, will be set at or below the cost equivalent of the applicable monthly Subscription Fee multiplied by twelve (12). Greenlight may offer annual subscription pricing for any or all plan tiers at any time. The availability of annual pricing for each plan tier will be displayed in the Application and at greenlight.com.
For Subscription Plans that include Invest Account Services, the applicable Subscription Fee includes a $0.02 monthly investment advisory fee payable to Greenlight Investment Advisors, LLC. The total Subscription Fee is unchanged from your perspective; this amount is remitted by the applicable payment processor directly to Greenlight Advisors on a monthly basis.
8.2 Billing Cadence — Monthly Plans
For monthly subscribers, the first Subscription Fee will be billed to the Primary Accountholder seven (7) days after successful account registration. The recurring monthly Subscription Fee will be billed on the thirty-first (31st) day following the registration date, and on the same date of each month thereafter (the "Monthly Billing Date"); provided that if the thirty-first (31st) day falls on the twenty-ninth (29th), thirtieth (30th), or thirty-first (31st) of the month, the first Monthly Billing Date will occur on the first (1st) day of the immediately following month.
8.3 Billing Cadence — Annual Plans
For annual subscribers, the initial annual Subscription Fee will be charged seven (7) days after the subscription start date. Subscribers will receive full access to their selected plan beginning on the subscription start date. Subsequent annual Subscription Fees will be charged on each one (1)-year anniversary of the subscription start date (each, an "Annual Billing Date").
8.4 First-Payment Refund Right
Monthly subscribers: Each Primary Accountholder initially enrolled in any plan may cancel their account on or before the day immediately preceding their first Monthly Billing Date and receive a full refund of the initial Subscription Fee collected.
Annual subscribers: Each Primary Accountholder who purchases an annual subscription may cancel their account within thirty (30) days of the subscription start date and receive a full refund of the annual Subscription Fee.
8.5 Subscription Payment Methods
Subscription Fees may be paid using one of the following payment methods:

8.6 Plan Changes
You may upgrade or downgrade your Subscription Plan at any time, subject to the limitations in this Section 8. You may not change your Subscription Plan more than once per billing period.
When you change your Subscription Plan, the timing of the change depends on whether an additional payment is required. If you owe an additional amount, the change takes effect immediately and you will be charged at that time. If no additional payment is required, the change takes effect at your next scheduled billing date and you retain access to your current plan until then.
Credits arise only from unused days remaining on a prepaid annual subscription. Monthly subscriptions do not generate a credit balance — the monthly fee covers the current billing period with no mid-cycle refund. When a credit applies to an annual plan change, it is calculated as the unused days remaining in your current annual term divided by 365, multiplied by the annual amount you paid. Credits are applied toward your new Subscription Fee and are not refunded as cash.
The specific treatment for your plan change, including any credit calculation and amount due, will be displayed in the Application before you confirm the change.
8.7 Cancellation
You may cancel your Subscription Plan at any time through the Application or by contacting Greenlight Customer Service. Cancellation takes effect at the end of the current billing period, and you will retain access to your Subscription Plan and all included features until the end of the period for which you have already paid. No refund will be issued for the current billing period, except as provided in the first-payment refund right described in Section 8.4.
If you have enrolled in a Greenlight Card, cancellation of your Subscription Plan may affect your ability to access Greenlight features that require a Greenlight Card. Any rights, obligations, or consequences relating to your Card or Card Account, including any potential closure of the Card Account or return of remaining Card Account balance, are governed exclusively by the Cardholder Agreement. Please refer to the Cardholder Agreement for the terms applicable to your Card and Card Account.
8.8 Employer-Sponsored Paid Subscription Payments
If a Primary Accountholder participates in the Greenlight for Work employer benefit program in which the employer pays the applicable Subscription Fee on the Primary Accountholder's behalf, the employer's payment will satisfy the Subscription Fee obligation under this Service Agreement, for the applicable billing period. While the employer-sponsored payment remains in effect, the Primary Accountholder’s Subscription Plan will be considered in Good Standing for purposes of this Service Agreement, including eligibility for Greenlight Savings Reward and other subscription benefits, subject to any applicable eligibility requirements.
The terms of the employer benefit program, including any conditions on continued coverage, are governed by the agreement between Greenlight and the employer, and may be modified or terminated in accordance with that agreement. Greenlight is not responsible for any loss, suspension, or interruption of subscription benefits resulting from an employer’s decision to modify, suspend, or discontinue its sponsorship, a change in the Primary Accountholder’s employment or eligibility status, or any other action or omission by the employer. If employer-sponsored payment ends, the Primary Accountholder may be required to provide another accepted payment method to continue the Subscription Plan without interruption.
8.9 Insufficient Funds and Collections
If the Subscription Fee cannot be collected from your designated payment method, Greenlight will notify you and attempt to collect the fee. If we are unable to collect the applicable payment from your designated payment method, we may deduct the outstanding amount from your available Greenlight Wallet balance (a Greenlight held subscription balance), or any available payment method on file. If the Subscription Fee remains unpaid, Greenlight may suspend access to Greenlight Services until the outstanding fee is paid. If you are also enrolled in a Greenlight Card, any fees, negative balances, or amounts owed in connection with your Card or Card Account are governed by the Cardholder Agreement.
If we are unable to collect the renewal Subscription Fee for your annual subscription, your subscription will automatically convert to a monthly subscription for the same plan tier at the then-current monthly Subscription Fee, unless you cancel your subscription or applicable law requires otherwise.
9. CONDUCT
As a condition of your use of the Greenlight Services, the Website, and the Application, you warrant that you will not use the Greenlight Services for any purpose that is unlawful or prohibited by this Service Agreement. You understand, agree, and acknowledge that you may not: (i) intentionally interfere with, alter, or damage operation of the Greenlight Services; (ii) attempt to gain unauthorized access to the Greenlight Services, the Website, or the Application; or (iii) disable, circumvent, or otherwise interfere with Greenlight's security-related features.
10. INVEST ACCOUNT SERVICES
10.1 Overview
Invest Account Services are available as an optional feature for Primary Accountholders and Secondary Cardholders who are enrolled in an eligible Subscription Plan and have completed KYC and enrolled in a Greenlight Card. [CARD REQUIRED — Invest Account Services are not available in the Subscription-Only State.]
"Invest Account Services" means the investment advisory services provided by Greenlight Investment Advisors, LLC ("Greenlight Advisors"), an SEC-registered investment adviser, and the brokerage services provided by Alpaca Securities, LLC ("Alpaca"), an SEC-registered broker-dealer and member of Financial Industry Regulatory Authority, Inc. (“FINRA”) and Securities Investor Protection Corporation (“SIPC”).
10.2 Eligibility
To be eligible for Invest Account Services, you must satisfy the eligibility requirements established by Greenlight Advisors, Alpaca and Greenlight, which may include enrollment in an eligible Subscription Plan (all plans except Select Plans and Supported Adults under the Family Shield Plan) and, where applicable, enrollment in a Greenlight Card. Invest Account Services are governed by and subject to separate agreements and disclosures required by Greenlight Advisors and Alpaca, available in the Policy Center.
10.3 Invest Account Features
The Invest Account Services are offered under the following features depending on Subscription Plan:

In all cases, the Primary Accountholder is the record owner of all Invest Accounts, including those tracked separately for Secondary Cardholders. Invest Account Services are not available to Authorized Approvers. Funds in the Invest Account are held by Alpaca and are not FDIC-insured.
11. THIRD-PARTY SERVICES
11.1 Safety Features
Safety Features are provided by Greenlight with technology from third-party geolocation providers. Because technology in this area evolves rapidly, Greenlight changes technology partners from time to time; specific partners are not listed in this Service Agreement. Safety Features include Family Location Sharing, SOS Alerts, Crash Detection, Driving Reports, Real-Time Trip Alerts, and Place Alerts.
To use Safety Features, you must provide device permissions including location, motion, and sensor data, enable push notifications, and maintain a mobile data connection. Safety Features rely on proper functioning of registered devices, wireless networks, and GPS satellites. Greenlight is not responsible for failures or delays due to factors outside its control.
IMPORTANT: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT SHALL NOT BE LIABLE FOR ANY INJURIES TO PERSONS OR DAMAGE TO PROPERTY ARISING FROM USE OF SAFETY FEATURES, INCLUDING CRASH DETECTION OR SOS ALERTS. ACTIVATING THE SOS ALERTS FEATURE IS NOT A SUBSTITUTE FOR CONTACTING 911 DIRECTLY IN A GENUINE EMERGENCY.
11.2 SOS Alerts — RapidSOS
By using the SOS Alerts feature, you agree to the RapidSOS End User License Agreement available at greenlight.com/end-user-license-agreement-rapid-SOS. You are responsible for any fines, fees, or penalties arising from false SOS activations.
11.3 Credit and Dark Web Monitoring — Array
Credit and identity monitoring services are provided by Array US, Inc. and/or its affiliates ("Array"). These services are offered at different levels depending on your Subscription Plan, as described below.
For Primary Accountholders, Authorized Approvers, and Supported Adults (Max Plan and above): Credit monitoring, dark web monitoring, and full service identity restoration are available upon subscription enrollment and do not require card enrollment. Credit monitoring is provided through:
TransUnion only, for Max Plan and Infinity Plan subscribers
TransUnion, Experian, and Equifax for Family Shield Plan subscribers
For Secondary Cardholders under the age of eighteen (18) (Max Plan and above): Dark web monitoring and full service identity restoration are available for up to five (5) Secondary Cardholders under the age of eighteen (18). These services are activated and managed by the Primary Accountholder on behalf of each Secondary Cardholder.
Credit Lock and Unlock (Family Shield Plan only): Primary Accountholders, Authorized Approvers, and Supported Adults enrolled in the Family Shield Plan may lock and unlock their TransUnion credit file through Array.
By using any of these services, you acknowledge and agree to the Credit & Identity Monitoring Services Addendum, available at https://greenlight.com/credit-monitoring-terms and incorporated into this Service Agreement by reference.
11.4 Financial Account Monitoring — Family Shield Plan
The Financial Account Monitoring feature allows Primary Accountholders, Secondary Cardholders, and Supported Adults to link and monitor external financial accounts for suspicious activity. Account linking is facilitated through Plaid or a similar Account Monitoring Provider. By using this feature, you authorize the Account Monitoring Provider to access your Linked Financial Accounts and provide transaction and balance data to Greenlight.
Greenlight is not responsible for the timeliness, completeness, or accuracy of information provided through the Financial Account Monitoring feature. You remain responsible for monitoring your Linked Financial Accounts directly.
11.5 Identity Theft Coverage — Chubb
When a Primary Accountholder enrolls in the Family Shield Subscription Plan, the Primary Accountholder, Authorized Approver, Secondary Cardholders, Supported Adults, and certain additional Family Members are automatically eligible for Identity Theft Coverage provided by ACE Property & Casualty Insurance Company and its U.S.-based Chubb underwriting company affiliates (collectively referred to as “Chubb”). Chubb is the marketing name used to refer to subsidiaries of Chubb Limited providing insurance and related services. Insurance products are not insured by the FDIC or any federal government agency and are not a deposit or other obligation of, or guaranteed by, the Bank or any other bank or bank affiliate.

Chubb reserves the right to cancel the Identity Theft Policy at any time upon thirty (30) days' notice. If Chubb cancels, Greenlight will use commercially reasonable efforts to find a replacement product of equivalent value, but shall have no liability if it is unable to do so.
11.6 Deceptive Transfer Fraud Coverage — Chubb
Deceptive Transfer Fraud Coverage is available to Primary Accountholders, Secondary Cardholders, and Supported Adults who have enrolled in the Financial Account Monitoring feature with at least one active Linked Financial Account.
A "Deceptive Transfer Fraud" occurs when someone misleads the insured into transferring funds from a Linked Financial Account by impersonating a family member, professional, or legitimate organization.

12. PAY LINK FUNCTIONALITY
The Pay Link functionality allows friends, relatives, and third parties to initiate gifts or payments through Greenlight-supported functionality. Pay Link requires the recipient to have an active Greenlight Card and is subject to the Pay Link Terms of Use, available at greenlight.com/pay-link/terms, incorporated herein by reference. Any receipt, posting, availability or use of funds in a Card Account is governed by the Cardholder Agreement.
13. PROMOTIONAL PROGRAMS
Greenlight may from time to time offer Referral Programs, Advocate Programs, and Sweepstakes Programs to Greenlight customers. Supported Adults are not eligible to participate in any Promotional Programs.
Eligibility for specific Promotional Programs, including any Referral Rewards, will be described in the terms of the applicable program. Subscription-only customers in the Subscription-Only State may be eligible for Promotional Programs that do not require a card account; eligibility for Promotional Programs that pay rewards to a card account requires Full Access State enrollment.
You agree to participate in all Promotional Programs in accordance with this Service Agreement and all applicable laws. You may not post referral information on any event, coupon, discount, or related page or site. You must properly disclose your relationship with Greenlight in all communications with referred customers.
14. PRIVACY
Please review the Greenlight Privacy Statement carefully. You agree that we may use your personal information in accordance with our Privacy Statement, available at privacy.greenlight.com/policies, which is incorporated into this Service Agreement by reference.
If you elect to add a Greenlight Card to your subscription, Greenlight will share certain personal information you previously provided as a subscription-only customer with CFSB, as necessary for CFSB to perform identity verification (KYC) and open your deposit account. This information sharing occurs only when, and because, you elect to open a banking relationship with CFSB. The Greenlight Privacy Statement describes what information is shared with CFSB and when, and your acceptance of the Cardholder Agreement will separately address CFSB's use of your information as the deposit-taking institution.
15. AMENDMENTS AND CUSTOMER NOTICE
We may change or update this Service Agreement at any time by posting such changes on the Website and the Application. It is your responsibility to periodically review this Service Agreement for any changes. Your continued use of the Greenlight Services after the effective date of any posted changes constitutes your acceptance of such changes.
We reserve the right to change, modify, add to, discontinue, terminate, or retire the Greenlight Services and any aspect or feature thereof at any time, including features included within a specific Subscription Plan. We will provide notice of any changes by posting them on the Website and the Application.
If you are not satisfied with any changes to the Greenlight Services or your Subscription Plan, you may change your Subscription Plan or terminate your Greenlight Account at any time.
16. MINORS AS SECONDARY CARDHOLDERS
We may allow you, the Primary Accountholder, to add your minor child as a Secondary Cardholder linked to your account, provided you are the parent or legal guardian. By requesting Greenlight Services for a minor, you authorize us to make any inquiries, either directly or through third parties, including requiring you to provide documentation to us, either directly or indirectly, as deemed it necessary in our sole discretion, to validate the information you provide, including engaging third parties to verify age, identity, and relationship.
You acknowledge that this Service Agreement applies to any Secondary Cardholder, and you expressly accept this Service Agreement on behalf of any Secondary Cardholder you add. You accept full responsibility for your Secondary Cardholder's use of the Greenlight Services, including all financial charges and legal liability.
17. DISPUTE RESOLUTION and CLASS ACTION WAIVER
IMPORTANT NOTICE: PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR TO PURSUE CLAIMS IN A CLASS OR REPRESENTATIVE CAPACITY.
17.1 Applicability
This Service Agreement is governed by the Federal Arbitration Act and federal arbitration law. Greenlight Financial Technology, Inc. (“Greenlight,” “we,” “our,” or “us”) includes Greenlight Financial Technology and any of its subsidiaries, affiliates, successors, assigns and any of these entities’ employees, officers, directors and agents. To the fullest extent allowed by applicable law, all Disputes must be resolved through binding arbitration pursuant to the provisions in this Dispute Resolution and Class Action Waiver Section, unless you opt out as detailed in Section 17.7 below (“30-Day Right to Opt-Out of Arbitration”).
You agree that any Dispute between you and Greenlight that in any way relates to or arises from any aspect of our relationship, including, without limitation, your use or attempted use of the Greenlight Services, your account, your relationship with us, and all matters relating to or arising from this Service Agreement, Greenlight’s Privacy Statement, or any other agreement between you and Greenlight, including the validity and enforceability of this agreement to arbitrate, shall be subject to binding, individual arbitration regardless of whether it is based in contract, statute, regulation, ordinance, tort (including fraud, misrepresentation, fraudulent inducement, or negligence), or any other legal or equitable theory. This includes claims that accrued before you entered into this Service Agreement. You understand that there is no judge or jury in arbitration and that court review of an arbitration award is limited.
17.2 Informal Negotiation Period
Greenlight’s customer support department is available at 1-888-483-2645 or support@greenlight.com to address any concerns you may have. Most concerns are quickly resolved in this manner to our customers’ satisfaction. In an effort to accelerate resolution and reduce the cost of any Dispute, you and Greenlight agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before either party initiates any arbitration or court proceeding (the “Initial Dispute Resolution Period”). That period begins upon receipt of written notice from the party raising the Dispute.
If Greenlight has a Dispute with you, it will send notice of that Dispute to your billing address and/or email address you have provided to us. If you have a Dispute with Greenlight, you must notify us in writing at support@greenlight.com, using the subject line “Initial Dispute Resolution Notice.” Your notice of Dispute must be individual to you and must include, as applicable, your name, the email address associated with your account, your cell phone number, and your residential mailing address. The notice of Dispute must also describe the Dispute, explain the facts as you understand them, and tell Greenlight what you want us to do to resolve the problem. The parties shall use their best efforts to settle any Dispute directly through consultation and good faith negotiations.
A notice of Dispute will not be valid, and will not start the Initial Dispute Resolution Period, unless it contains all of the information required above. You agree that neither party may initiate a lawsuit or arbitration unless a notice of Dispute containing all of the required information described above has been submitted and the parties have engaged in at least thirty (30) days of good-faith negotiations. If either party commences an arbitration without having previously provided a valid and compliant notice of Dispute, you and Greenlight agree that the applicable arbitration provider must suspend the arbitration until the party that initiated it complies with the Initial Dispute Resolution Period.
You and Greenlight authorize the arbitration provider or the arbitrator to decide summarily whether the party that commenced an arbitration complied with the Initial Dispute Resolution Period requirement, relying solely on this Service Agreement and the notice of Dispute (if any) that you or Greenlight provided before commencing arbitration.
17.3 Binding Arbitration
If a Dispute cannot be resolved through negotiations during the Initial Dispute Resolution Period, then either you or Greenlight may elect to have the Dispute finally and exclusively resolved by binding arbitration, unless an exception applies as stated below. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules in effect when the notice of Dispute is delivered (the “AAA Rules”), available at www.adr.org/consumer, as modified by this Service Agreement. If AAA is unable to provide the arbitration, then except as otherwise stated below, you may file your Dispute with any national arbitration company that handles consumer arbitrations following procedures substantially similar to the AAA Rules.
If the amount of a Dispute does not exceed Twenty-Five Thousand ($25,000) Dollars, the Dispute may be resolved through submission of documents only (also known as “desk arbitration”) without in-person or telephonic hearings, unless any party requests a hearing or the arbitrator determines one is necessary. Arbitration hearings may be conducted by videoconference unless the arbitrator believes an in-person hearing is necessary.
The arbitrator will make a decision in writing but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law. The decision of the arbitrator shall be final and binding on you and Greenlight, and any award may be entered in any court of competent jurisdiction.
The arbitrator shall determine the scope and enforceability of this arbitration agreement, including whether a Dispute is subject to arbitration.
17.4 Class and Collective Action Waiver
TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, YOU AND GREENLIGHT AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A CLASS ACTION, COLLECTIVE ACTION OR CLASS ARBITRATION, OR AS A PRIVATE ATTORNEY GENERAL. To the extent applicable law does not permit waiver of private attorney general claims, but permits them to be arbitrated, then such claims shall be resolved in arbitration.
If any provision in this Dispute Resolution and Class Action Waiver Section is found to be unenforceable, that provision shall be severed with the remainder of this Section remaining in full force and effect. The foregoing shall not apply to the prohibition against class or collective actions provided for above. This means that if the prohibition against class or collective action is found to be unenforceable, for any reason, the entire Dispute Resolution and Class Action Waiver Section of this Service Agreement shall be null and void. (Note: only this Section 17 would be impacted.)
17.5 Exceptions to Informal Negotiations and Arbitration
Either party may bring an action in state or federal court that only asserts claims for patent infringement or invalidity, copyright infringement, piracy, moral rights violations, trademark infringement, and/or trade secret misappropriation. Either party may also seek relief in a small claims court for any individual disputes or claims within the scope of that court’s jurisdiction.
17.6 Arbitration Fees and Expenses
If Greenlight is the claimant who makes a “Demand for Arbitration” (as defined in the AAA Rules), then Greenlight shall be responsible for paying all administrative fees of the arbitration including non-refundable initial filing fees, case management fees, hearing fees, and arbitrator fees charged by the AAA. If you are the claimant, you will be required to pay your portion of the non-refundable initial filing fees, but Greenlight will be required to pay the remainder of the administrative fees. Each party shall be responsible for its own attorneys’ fees, expert fees, and other expenses, except that if you are the claimant and prevail, Greenlight will pay your reasonable attorneys’ fees and costs. Please note that the AAA Rules, including the fee amounts and the allocation of the fees between the parties, are subject to change by the AAA at any time.
Except as described above for AAA administrative fees, each party shall be responsible and liable for its own fees and expenses in connection with any arbitration (or court proceeding to enforce an arbitral judgment) including its own attorney’s fees and expenses and the costs of required travel and any other expenses in connection with the arbitration proceeding. The expenses of witnesses for either side shall be paid by the party producing such witness.
17.7 30-Day Right to Opt-Out of Arbitration
Opt-Out Process. You have the right to opt out of the arbitration and class action waiver provisions in this Section 17 by visiting www.greenlight.com/arbitration/opt-out, completing and signing the Greenlight Arbitration Opt-Out Form, and mailing the completed form to: Greenlight Financial Technology, Inc., Attn: Customer Service — Arbitration Opt-Out, 303 Peachtree St. NE, Suite 4300, Atlanta, GA 30308.
The Arbitration Opt-Out Form requests the following information: (i) Full Name; (ii) mailing address; (iii) email address; (iv) cell phone number; (v) last four digits of your Greenlight Prepaid Mastercard Account number, if applicable; (vi) the URL address for this Service Agreement; and (vii) all of the same information for any child issued a Secondary Account attached to your Primary Account. The card account number field is optional for customers who have not enrolled in a card. The Arbitration Opt-Out Form must be sent to Greenlight within thirty (30) days of the date you first accept this Service Agreement. Any notice of your intent to opt out must be provided by completing the Arbitration Opt-Out Form in accordance with the instructions above; notice provided by any other means will be deemed invalid. Your decision to opt out will not have any other effect on this Service Agreement and will not affect any other arbitration agreement between you and us, which will remain in full force and effect. If you do not elect to complete an Arbitration Opt-Out Form, this Service Agreement will be effective as of the date you received it.
18. CHOICE OF LAW and VENUE FOR NON-ARBITRABLE DISPUTES
Except as otherwise provided herein, this Service Agreement is governed by the laws of the State of Delaware, excluding its conflict of laws provisions, and, where applicable, will be governed by and construed in accordance with the federal laws of the United States.
For any claims not subject to binding individual arbitration, and which cannot be brought in small claims court, you and Greenlight agree to submit to the exclusive jurisdiction of the state and federal courts in Delaware, and you and Greenlight consent to venue in and personal jurisdiction before such courts.
19. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT (INCLUDING OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS), OUR AFFILIATES, SUBSIDIARIES, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY, INCLUDING, BUT NOT LIMITED TO, CLAIMS ARISING FROM OR RELATED TO: DELAYS OR MISTAKES RESULTING FROM ANY CIRCUMSTANCES BEYOND OUR CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOVERNMENTAL AUTHORITIES, NATIONAL EMERGENCIES, INSURRECTION, WAR, OR RIOTS; LOSS OF PROFITS, DATA, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES; THE FAILURE OF THIRD-PARTY SERVICE PROVIDERS TO PERFORM OR PROVIDE SERVICES; COMMUNICATION SYSTEM FAILURES OR ANY FAILURES OR MALFUNCTIONS ATTRIBUTABLE TO YOUR EQUIPMENT, INCLUDING YOUR MOBILE PHONE OR OTHER DEVICE, ANY INTERNET SERVICE, ANY MOBILE PHONE NETWORK, OR ANY OTHER COMMUNICATION NETWORK.
IN NO EVENT SHALL YOU BE ENTITLED TO RECOVER ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXTRAORDINARY, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES (WHETHER IN CONTRACT, TORT OR OTHERWISE), EVEN IF YOU HAVE ADVISED US OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, IN THE EVENT THAT WE ARE HELD LIABLE FOR DAMAGES TO YOU IN A COMPETENT LEGAL PROCEEDING, YOU WILL ONLY BE ENTITLED TO RECOVER YOUR ACTUAL DAMAGES. THIS PROVISION SHALL NOT BE EFFECTIVE TO THE EXTENT OTHERWISE REQUIRED BY LAW.
NOTWITHSTANDING THE FOREGOING, IN NO EVENT SHALL THIS SERVICE AGREEMENT CONSTITUTE A WAIVER OR LIMITATION OF ANY RIGHTS THAT YOU MAY HAVE UNDER FEDERAL OR STATE SECURITIES LAWS TO PURSUE A DIFFERENT REMEDY IF AND TO THE EXTENT SUCH RIGHTS CANNOT BE WAIVED OR LIMITED.
20. INTELLECTUAL PROPERTY RIGHTS
By submitting any information to Greenlight through your access to and use of the Greenlight Services (each, a “Submission”), you are licensing that Submission to Greenlight solely for the purpose of providing the Greenlight Services, and you represent that you are entitled to do so for this purpose. If you respond to any surveys or interviews about the Greenlight Services or provide feedback about any Greenlight Services (collectively, “Feedback”), you agree that Greenlight, in its sole discretion, can use that Feedback in any way, including in future enhancements and modifications to the Greenlight Services. You hereby grant to Greenlight and its assigns a perpetual, worldwide, fully transferable, sub-licensable, fully paid-up, irrevocable, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display the Submission and the Feedback in any manner for any purpose, whether in any media, software, or technology of any kind now existing or developed in the future, without any obligation to provide attribution or compensation to you or any third party.
We retain all right, title, and interest (including all copyright, trademark, patent, trade secrets, and all other intellectual property rights) in our Greenlight Services, the Website, and the Application, as well as our trademarks, service marks, designs, logos, URLs, and trade names that are displayed in connection with our Greenlight Services, the Website, and the Application.
21. ELECTRONIC COMMUNICATIONS CONSENT (E-SIGN)
21.1 Your Consent to Receive Electronic Communications
By opening a Greenlight Account and accepting this Service Agreement, you consent to receiving electronic communications from Greenlight regarding your Greenlight Account and Greenlight Services, including any disclosure, notice, agreement, statement, schedule of fees, explanation of services, inquiry responses, or any other communication regarding any Greenlight-issued account, Greenlight product, or Greenlight Services provided to you by Greenlight under this Agreement, including promotional programs and communications provided directly or indirectly through Greenlight’s service partners (collectively, “E-Communications”). Electronic communications relating to any Card or Card Account are governed by the applicable Cardholder Agreement and related electronic communications consent.
21.2 Delivery of E-Communications
You agree that we may provide E-Communications to you via email, via text message to a designated mobile device, or by posting them to the Website or delivering them to you via the Application. E-Communications sent via email will be delivered to the email address registered to your Greenlight Account. You must notify us of any change in your email address or mobile device number by emailing support@greenlight.com. Unless otherwise required by law, you agree that any E-Communication will be deemed received by you when sent by any means set forth above.
21.3 Withdrawal of Consent
You may withdraw your consent to receive E-Communications by contacting Greenlight at support@greenlight.com. The withdrawal of your consent to E-Communications will result in the immediate closing of your Greenlight Account and cessation of all related Greenlight Services.
21.4 Printed Copies
You may contact support@greenlight.com to request a paper copy of any communication provided electronically. Paper copies of electronic communications cost $5.99 per account, which will be billed to your Greenlight Account. Greenlight may, in its discretion, close your Greenlight Account and cease all related Greenlight Services in the event of routine or multiple requests for paper copies of E-Communications.
21.5 System Requirements
In order to properly access and retain your E-Communications you must have (i) a personal computer, tablet or mobile device capable of accessing the Internet, displaying visual content, and sending and receiving emails; (ii) access to a printer capable of printing copies of emails, Website, or Application content for your records if you desire paper records; (iii) sufficient computer or mobile device hard drive or cloud-based storage capability, capable of storing data; (iv) an Internet browser that supports 128-bit encryption; and (v) a software program that accurately displays PDF files. For E-Communications provided in PDF format, Adobe Acrobat Reader 6.0 or later is required, a free copy of which may be obtained from the Adobe website at www.adobe.com. If any of the above system requirements change, and we believe that such change may create a material risk that you will be unable to access E-Communications, Greenlight will notify you of the new hardware/software requirements.
21.6 Telephone and Text Communications
By opening your Greenlight Account and accepting this Service Agreement, you agree that we may call or send text messages to you regarding your Greenlight Account using any contact information relating to your account, including any telephone number (i) you have provided to us; (ii) from which you have called us; or (iii) which we obtained and at which we reasonably believe we can reach you. You agree we may call or text any of these telephone numbers using an automatic telephone dialing system or an artificial or prerecorded voice. You agree to promptly notify us if you change any telephone number contact you provide to us.
22. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Greenlight, its officers, directors, agents, affiliates, subsidiaries, joint ventures, licensees, employees, shareholders, and any third-party partners, from and against all damages, expenses, losses, costs, or any other claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Service Agreement, or your violation of any law or regulation, or the rights of any third party.
23. TERMINATION
You understand and agree that Greenlight has the absolute right to terminate this Service Agreement and your Greenlight Account, in Greenlight’s sole discretion, for any reason, at any time. You will be notified within five (5) business days of such decision, but the termination will be effective immediately, regardless of whether you have read or received such notification.
You may terminate this Service Agreement at any time by calling Greenlight Customer Service at 1-888-483-2645 and closing your Greenlight Account, or by using the cancellation option in the Settings of the Application.
Your right to use and access the Greenlight Services is personal to you and is not transferrable. Neither this Service Agreement nor any rights hereunder may be assigned by operation of law or otherwise, in whole or in part, by you without our prior written permission. Any purported assignment without such permission shall be void.
The following provisions of this Service Agreement shall survive any termination: Section 17 (Dispute Resolution and Class Action Waiver), Section 18 (Choice of Law and Venue for Non-Arbitral Disputes), Section 19 (Limitation of Liability), Section 20 (Intellectual Property Rights), and Section 22 (Indemnification).
Where any amendment to this Service Agreement substantively changes the arbitration provisions in Section 17 (Dispute Resolution and Class Action Waiver), we will provide affirmative notice to you and reset the 30-day opt-out window described in Section 17.7. However, if the change is made for security purposes, we can implement such change without prior notice.
24. GENERAL PROVISIONS
24.1 Entire Agreement
This Service Agreement, together with all documents incorporated by reference, constitutes the entire agreement between you and Greenlight with respect to the Greenlight Services and supersedes any and all prior or contemporaneous communications, negotiations, or agreements with respect thereto. The proprietary rights, disclaimer of warranties, representations made by you, indemnities, limitations of liability, and general provisions shall survive any termination of this Service Agreement.
24.2 Severability
In the event any portion of this Service Agreement is found to be illegal or unenforceable, such portion shall be severed to the minimum extent necessary, and the remaining terms shall be separately enforced so that this Service Agreement shall otherwise remain in full force and effect to the fullest extent permitted by law.
24.3 Waiver
Any waiver of our rights under this Service Agreement must be in writing and signed by Greenlight. Our failure to exercise any rights or enforce any of the terms of this Service Agreement is not a waiver of such right or term.
24.4 Third Parties
This Service Agreement is solely and exclusively between you and Greenlight and you acknowledge and agree that: (i) no third party, including any third-party partner or service provider of Greenlight, is a party to this Service Agreement, and (ii) no third party, including any third-party partner or service provider of Greenlight, has any obligations or duties to you under this Service Agreement.
24.5 Compliance with Laws
You warrant to Greenlight, as a condition to your use of the Greenlight Services, the Website and/or the Application, that your use of the Greenlight Services, the Website and/or the Application, shall at all times comply with all applicable laws, rules, and regulations. You are only entitled to use and access the Greenlight Services, the Website and/or the Application for lawful purposes.
24.6 Notices
Except as expressly set forth to the contrary herein, all notices given by you under this Service Agreement shall be in writing and addressed to: Greenlight Financial Technology, Inc., 303 Peachtree St. NE, Suite 4300, Atlanta, GA 30308, Attn: Customer Service.
Except as expressly set forth to the contrary herein, all notices given by Greenlight under this Service Agreement shall be given to you through written notice, email, or posting on the Website or Application.
25. ARTIFICIAL INTELLIGENCE AND AUTOMATED TOOLS
The Greenlight Services may incorporate artificial intelligence (“AI”), machine learning, or other automated technologies (collectively, “AI Tools”) to provide features such as personalization, recommendations, content generation, or process automation. By using the Greenlight Services, you acknowledge and agree to the AI Usage Policy available at https://greenlight.com/ai-usage-policy, which is incorporated into this Service Agreement by reference. AI Tools are continuously developed and may evolve over time. We may introduce, modify, or discontinue AI-related features without prior notice. You remain solely responsible for any decisions, actions, or outcomes that result from your use of AI Tools within the Greenlight Services.
