General Terms & Conditions
Last Updated: September 10, 2026 These General Terms apply to all sweepstakes, contests, giveaways, referral programs, discounts, rebates, account credits, rewards, bonuses, or other promotional offers offered by Greenlight (“Promotions”) that reference or link to these General Terms. Special promotion terms will identify the type of Promotion and all applicable eligibility requirements, entry or qualification criteria, selection or judging procedures, prizes or benefits, material limitations, and fulfillment conditions on or through the applicable Promotion’s offer page, email, text or other means of notification made available to the Participant at or before entry or completion of the qualifying action (the “Special Promotion Terms”) (collectively, these General Terms and the Special Promotion Terms are referred to as the “Official Rules”).
If the Special Promotion Terms conflict with these General Terms, the Special Promotion Terms control solely with respect to the Promotion-specific eligibility, entry, qualification, selection, judging, prize, benefit, and fulfillment mechanics. These General Terms otherwise control Promotion administration. Any applicable Greenlight Terms of Service, cardholder agreement, issuing-bank disclosure, investing agreement, insurance or benefit terms, privacy notice, or other product-specific terms control the applicable account, card, transaction, investment, coverage, or service. The Official Rules do not amend or expand any right under those product-specific terms. References in the Official Rules to a “prize,” “winner,” or “amounts paid” describe the benefit(s) offered under a particular Promotion, as set forth in the applicable Special Promotion Terms, and apply only where appropriate to the applicable Promotion type. References to a “winner,” “odds,” or “prize” do not convert a guaranteed discount, rebate, account credit, or other non-chance offer into a sweepstakes or contest.
Sponsor reserves the right to amend, update or modify these General Terms prospectively. The version made available when a Participant enters or begins the applicable qualifying action, whichever occurs first, will govern that Participant’s participation, except that Sponsor may apply later changes to the extent reasonably necessary to comply with applicable law or to address fraud, abuse, security threats, technical failures, or circumstances impairing the integrity or administration of the Promotion, provided that such changes do not materially reduce a benefit already validly earned. Sponsor will not materially reduce a benefit already validly earned or alter the selection or judging criteria applicable to an entry already received, except as required by applicable law or reasonably necessary to address fraud, abuse, security threats, technical failures, or circumstances impairing the integrity of the Promotion. Sponsor may correct nonmaterial typographical, formatting, or administrative errors that do not adversely affect Participants.
Participation in any Promotion constitutes acceptance of the Official Rules by a Participant taking the action specified in the Special Promotion Terms for the applicable Promotion. Greenlight’s Terms of Service apply only to a Participant’s use of a Greenlight product or service governed by those terms. Greenlight’s Privacy Statement provides notice of Greenlight’s privacy practices. All Promotion entries must comply with the Official Rules to be valid.
For each chance-based Promotion: NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN, AND A PURCHASE OR PAYMENT WILL NOT INCREASE THE ODDS OF WINNING. If a chance-based Promotion includes an account-opening, subscription, transaction, referral, or other action that constitutes consideration under applicable law, the Special Promotion Terms will provide any legally required free alternative method of entry with the same deadline, entry limit, method of winner selection, and odds of winning as other entries. Odds of winning depend on the number of eligible entries received unless the Special Promotion Terms expressly provide and explain another method of determining odds. Purchase or payment requirements applicable to a guaranteed discount, rebate, account credit, or other non-chance offer must be clearly stated in the Special Promotion Terms and applicable marketing materials.
1. SPONSOR, ADMINISTRATOR: Greenlight Financial Technology, Inc., a Delaware corporation, will serve as the sponsor (“Greenlight” or “Sponsor”) and the administrator of each Greenlight Promotion unless the Special Promotion Terms expressly identify another or an additional sponsor. Greenlight may administer a Promotion directly or through an administrator, fulfillment provider, or other service provider identified in or engaged for the Promotion.
No issuing bank, card network, broker-dealer, investment adviser, insurer, benefit provider, merchant, app store, social media platform, or other third party is a sponsor, administrator, or offeror of a Promotion unless the Special Promotion Terms expressly state otherwise.
2. PROMOTION PERIOD: The start and end times of each Promotion (the "Promotion Period") are posted on the applicable Special Promotion Terms. To be eligible for the Promotion, follow the instructions specified in the applicable Special Promotion Terms during the Promotion Period and these General Terms. Participants will be required to provide certain registration information in order to enter a Promotion. Each Promotion is a limited time offer for the specified Promotion Period. Entries submitted after the close of the Promotion Period will not be valid. A Promotion may be withdrawn or changed at any time in full or in part at the discretion of the Sponsor, to the extent permitted by applicable law; provided that no such withdrawal or change will deprive a Participant of any benefit already validly earned under the Official Rules prior to the effective time of such withdrawal or change.
3. ELIGIBILITY: In addition to the eligibility requirements in the Special Promotion Terms, a Promotion is open only to legal residents of the 50 United States and the District of Columbia (excluding Puerto Rico and all United States territories and possessions) and who are at least 18 years old and the age of majority in their state of residence at the time of Promotion entry, unless otherwise specified in the Special Promotion Terms.
For a Promotion involving a minor, the minor’s parent or legal guardian must submit the entry or qualifying action on the minor’s behalf and is the Participant bound by the Official Rules. The minor will not independently contract with Sponsor, open or control a regulated financial or brokerage account, or be treated as the Primary Accountholder. A prize or financial benefit awarded in connection with a minor will be delivered to or controlled by the parent or legal guardian or through another structure expressly permitted by applicable law and the governing product terms.
Sponsor reserves the right to exclude any person from participating in a Promotion if Sponsor reasonably determines that such person is ineligible under the Official Rules, has violated the Official Rules, has engaged in fraud, abuse or other improper conduct, or must be excluded to comply with applicable law. Some states impose additional registration, bonding or disclosure requirements on promotions offering prizes above certain values; where applicable, the Special Promotion Terms for a specific Promotion will include any additional or different eligibility restrictions, state exclusions, registration or bonding disclosures, and other terms necessary to comply with applicable state law. Sponsor may exclude, void, or decline to honor participation in any jurisdiction where an applicable registration, bonding, filing, or notice requirement has not been satisfied. Promotions are not available to employees (and their immediate families or those living in the same household) of Sponsor and its affiliates, subsidiaries, divisions, parent and related companies, suppliers, printers and advertising and promotional agencies. Individuals who appear on the U.S. Government Department of Treasury’s Specially Designated Nationals and Blocked Persons List are also not eligible to enter a Promotion.
A “Participant” is a person who meets the eligibility requirements in the Official Rules and completes the entry or qualifying action stated in the Special Promotion Terms. A Promotion may require a Participant to be or become a Primary Accountholder if the Special Promotion Terms disclose that requirement.
If account eligibility is required through fulfillment, the Special Promotion Terms will state when the account must be opened, approved, funded, active, unrestricted, or current and whether any subscription-plan requirement applies. An account will not qualify if, at the applicable time, it has been closed or is restricted because of fraud, security concerns, sanctions, legal requirements, or a material violation of the governing product terms. Sponsor will not deny an otherwise earned benefit solely because an account was closed after qualification unless continued account status was clearly disclosed as a material condition.
Account eligibility, card availability, authorized-user status, parental controls, enrollment, and use of Greenlight products are governed exclusively by the then-current applicable product terms, cardholder agreement, and issuing-bank disclosures. The Official Rules do not expand, guarantee, or modify any product feature, account right, or cardholder status.
No Cardholder who is a minor is eligible to be a Participant, and a minor Cardholder may be identified as a beneficiary of or contributor to a Promotion only through the adult Participant. Any collection, use, or disclosure of a minor Cardholder’s personal information must comply with applicable law, Sponsor’s Privacy Statement, and the data-minimization and parental-consent requirements stated in these Official Rules.
If a Promotion requires enrollment in or use of a Greenlight product, the Special Promotion Terms must identify the applicable product, subscription plan, approval requirements, fees, and material eligibility conditions.
4. HOW TO ENTER: You may enter a Promotion only via the Promotion entry method or by completing the qualifying action specified in the Special Promotion Terms.
For a chance-based Promotion involving consideration, the free alternative method of entry described in the Special Promotion Terms must provide eligible entrants the same number and type of entries and the same opportunity to win as any purchase-based or other consideration-based method.
All entries must be received by the time specified in the Special Promotion Terms but not later than 11:59 p.m., in the time zone identified in the Special Promotion Terms, on the last day of the Promotion Period. If no time zone is identified, Eastern Time applies. Sponsor’s database clock will be the official timekeeper for the Promotion, subject to correction of manifest error. Ineligible, incomplete and duplicate entries will be disqualified. No responsibility is assumed by the Sponsor for any inability of a potential entrant to successfully obtain the Promotion for any reason. Unless otherwise specifically stated in the Special Promotion Terms, each Participant may only enter a Promotion a maximum of one (1) time. If it is discovered that a Participant attempted to enter a Promotion more than once, in violation of the Special Promotion Terms, using multiple physical addresses, e-mail addresses, telephone numbers, multiple accounts, devices, payment instruments, IP addresses, use of proxy servers, or any other method of unauthorized entry, Sponsor may, based on reasonably available information, aggregate or void the affected entries, disqualify the Participant, and withhold any unfulfilled prize or benefit associated with the violation. Participant will be disqualified from the Promotion and any amounts that Participant might have been entitled to receive will not be awarded to him/her. Promotion Entries that are incomplete, altered or otherwise irregular, in the reasonable discretion of Sponsor; that have been submitted or generated using robotic, programmed, script, or any other automated means, or illicit means; or that do not conform with or satisfy any or all of the conditions set out in the Official Rules, may be judged void and disqualified. Sponsor may require reasonable verification of identity, age, residence, account status, transaction status, referral attribution, tax information, and parental or guardian authority, limited to information reasonably necessary to administer the Promotion and comply with applicable law, before fulfilling a prize or benefit.
5. PROMOTION CONDITIONS: No substitution for the prize or benefit by a Participant will be permitted. If an advertised noncash prize becomes unavailable, Sponsor may substitute a prize of equal or greater approximate retail value. The prizes and benefits are not transferable or assignable unless the Special Promotion Terms expressly state otherwise, or applicable law requires. A cash prize, rebate, refund, subscription credit, or account credit may be delivered or applied in the manner stated in the Special Promotion Terms. Sponsor may withhold or correct an unfulfilled, erroneous, duplicate, fraudulently obtained, or unearned benefit. Sponsor may reverse a benefit associated with a qualifying transaction that is returned, canceled, reversed, charged back, or otherwise rescinded only if that condition is clearly disclosed in the Special Promotion Terms and the reversal is permitted by applicable law and the governing account terms. Nothing in the Official Rules authorizes Sponsor to debit settled funds from an account except as expressly authorized by the governing account terms and applicable law or limits any nonwaivable right under the Electronic Fund Transfer Act or Regulation E.
Entry does not constitute consent to advertising or public disclosure of a Participant’s personal information. Sponsor and its authorized service providers may use entry information only as reasonably necessary to administer, secure, verify, and fulfill the Promotion and as otherwise described in Sponsor’s Privacy Statement.
If stated in the Special Promotion Terms and permitted by law, Sponsor may announce an adult winner’s first name, last initial, city, and state. Any use of a Participant’s name, photograph, voice, likeness, testimonial, entry content, or other identifying information for advertising or promotional purposes requires separate, express consent describing the permitted use.
Notwithstanding the foregoing, Sponsor will not use the photograph, voice, likeness, image, or other personally identifiable information of any minor without the separate express written consent of such minor’s parent or legal guardian, obtained in compliance with applicable privacy and publicity laws and Sponsor's Privacy Statement. Sponsor will not use a minor’s name, precise location, entry content, financial information, photograph, voice, likeness, or image for publicity or advertising without separate parental or guardian consent and, where appropriate or legally required, the minor’s assent. Publicity consent must be optional unless publicity is an inherent and clearly disclosed component of a skill-based contest.
Any Participant who participates in additional promotional activity on Sponsor's behalf (including testimonials or social media posts) must comply with the Federal Trade Commission's Endorsement Guides, including clear and conspicuous disclosure of the Participant's relationship with Sponsor.
All potential winners are subject to verification before any prize will be awarded for any Promotion. A potential winner or benefit recipient must respond and provide any reasonably requested eligibility, identity, residence, age, account, transaction, tax, parental-consent, or release documentation within the period stated in the Special Promotion Terms. Failure to respond on time, inability to verify eligibility, return of a notification as undeliverable, refusal of the prize or benefit, or violation of the Official Rules will result in forfeiture. For a chance-based Promotion, Sponsor may select an alternate winner using the originally disclosed selection method. Sponsor will fulfill each verified prize or benefit within the period stated in the Special Promotion Terms, subject to delays outside Sponsor’s reasonable control.
6. CONDUCT OF PARTICIPATION IN PROMOTION: By entering a Promotion, each Participant affirms that he or she has read and agrees to abide by the Official Rules and the decisions of the Sponsor. Sponsor reserves the right to disqualify any Participant acting in violation of the Official Rules or found tampering with the entry process or with the operation of a Promotion or the Greenlight application or website. Promotions are governed by the laws of the State of Delaware, without regard to its conflict of laws principles, and applicable U.S. federal law, except that this choice of law will not deprive a consumer of nonwaivable protections of the consumer’s state of residence. If a Participant is bound by dispute-resolution provisions in Greenlight’s Terms of Service, those provisions govern any dispute arising from or relating to a Promotion and supersede any inconsistent dispute-resolution provision in these Official Rules. If no dispute-resolution provision in Greenlight’s Terms of Service applies, the Participant and Sponsor must first attempt in good faith to resolve any dispute through individualized written notice delivered to the notice address stated in the Special Promotion Terms or, if none is stated, Greenlight Financial Technology, Inc. 303 Peachtree St., NE, Suite 4300, Atlanta, GA 30308 Attn: Legal. The receiving party will have 30 days to respond before either party initiates arbitration.
Any unresolved dispute arising from or relating to a Promotion will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules and governed by the Federal Arbitration Act, unless the Participant timely opts out of arbitration in the manner stated in the Special Promotion Terms. The arbitration may be conducted by telephone, videoconference, written submissions, or in the county where the Participant resides, as permitted by the applicable rules. Either party may bring an eligible individual claim in a court of competent small-claims jurisdiction.
As a condition of entering a Promotion, each Participant agrees that: (a) to the extent permitted by applicable law, under no circumstances will the Participant be entitled or permitted to obtain awards for, and the Participant expressly waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than actual, out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased, provided that this limitation does not eliminate Sponsor’s obligation to provide a verified prize or benefit and does not apply to fraud, willful misconduct, gross negligence, or any damages, statutory remedies, or attorneys’ fees that cannot lawfully be limited or waived; and (b) any and all disputes, claims and causes of action arising out of or connected with any Promotion or any amounts provided under a Promotion shall be resolved individually, without resort to any form of class action, collective action, consolidated action, coordinated action, mass action, private-attorney-general action, or other representative proceeding, to the fullest extent permitted by applicable law. If any portion of this class action waiver is found to be unenforceable or unlawful for any reason, only the affected claim or requested remedy will proceed in court, after resolution of all arbitrable claims, unless applicable law requires otherwise. The remainder of the arbitration and waiver provisions will remain in effect. ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE RELATED TO SPONSOR OR A PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF A PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.
7. LIMITATIONS OF LIABILITY: Released Parties (as defined below) are not responsible for any incorrect or inaccurate entry or entries, errors in calculations, theft, tampering, destruction, or unauthorized access to, or alteration of entries; printing or other errors; and any entries or mail which are late, lost, delayed, incomplete, misdirected, stolen, mutilated, illegible, postage due or any combination thereof to the extent resulting from a Participant, telecommunications provider, payment network, merchant, device, platform, administrator, third party, or circumstance outside the Released Parties’ reasonable control.
This limitation includes app, website, API, telecommunications, platform, payment-network, merchant-data, referral-attribution, email-delivery, text-delivery, and cybersecurity failures outside the Released Parties’ reasonable control. Sponsor may correct a manifest administrative, typographical, technical, or calculation error before fulfillment, provided that the correction does not improperly alter winner selection or deprive a Participant of a verified benefit.
Sponsor reserves the right to modify, amend, suspend or terminate a Promotion or any part or all of the Official Rules if Sponsor reasonably determines that fraud, abuse, legal or regulatory requirements, security incidents, technical failures, force majeure events, or other circumstances impair the administration, security, fairness, or integrity of the Promotion. Without limiting the generality of the foregoing, Sponsor may decide to postpone deadlines or terminate any Promotion early to the extent permitted by applicable law.
For a chance-based Promotion terminated after entry begins, Sponsor may, where lawful and reasonably practicable, select the winner from eligible, non-suspect entries received before the event requiring termination. For a contest, Sponsor may apply the disclosed judging criteria to eligible submissions received before termination. For a guaranteed offer, Sponsor will honor each benefit validly earned before termination, subject to verification and the disclosed reversal conditions.
EACH PROMOTION AND EACH NONCASH PRIZE OR THIRD-PARTY SERVICE PROVIDED IN CONNECTION WITH IT IS PROVIDED “AS IS” WITHOUT WARRANTY, REPRESENTATION, GUARANTEE OR CONDITION OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, EXCEPT FOR ANY EXPRESS WARRANTY PROVIDED BY THE APPLICABLE MANUFACTURER OR PROVIDER AND ANY WARRANTY THAT CANNOT LAWFULLY BE DISCLAIMED.
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU TO THE EXTENT THE LAW OF SUCH JURISDICTION APPLIES.
8. RELEASE OF LIABILITY: By participating in a Promotion, Participants (and the parent or legal guardian thereof if a Participant is deemed a minor in his/her state of residence) agree, to the fullest extent permitted by applicable law, to release, discharge and hold harmless Sponsor and its affiliated entities, affiliates, subsidiaries, parent corporations and companies, and all of their respective officers, directors, shareholders and principals, employees, representatives and agents (collectively, “Released Parties”), from and against claims made by any Participant arising from participation in the Promotion or use of a prize, except to the extent resulting from a Released Party’s fraud, willful misconduct, gross negligence, or violation of applicable law. Participants (and the parent or legal guardian of a Participant if a Participant is deemed a minor in his/her state of residence) assume responsibility for injury or damage caused by such Participant’s acts or omissions in connection with participation in a Promotion or acceptance, use or redemption of any amounts paid under a Promotion, except to the extent caused by a Released Party’s fraud, willful misconduct, gross negligence, or violation of applicable law.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, OR LOSS OF DATA ARISING FROM A PROMOTION. WITHOUT LIMITING SPONSOR’S OBLIGATION TO PROVIDE A VERIFIED PRIZE OR BENEFIT, THE RELEASED PARTIES’ AGGREGATE LIABILITY TO A PARTICIPANT ARISING FROM A PROMOTION WILL NOT EXCEED THE GREATER OF THE PARTICIPANT’S ACTUAL DIRECT OUT-OF-POCKET COSTS OF ENTERING THE PROMOTION, US$100, OR THE STATED VALUE OF THE APPLICABLE PRIZE OR BENEFIT.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE TO THE EXTENT APPLICABLE LAW PROHIBITS LIMITATION.
9. ADDITIONAL TERMS AND CONDITIONS: The following are conditions to participating in each Promotion and additional terms and conditions are binding on Participants:
a. All federal, state and local tax liabilities and any applicable fees associated with accepting participation in each Promotion are the sole responsibility of each Participant. Sponsor may request a completed IRS Form W-9 or other documentation and report or withhold taxes when required by applicable law. No fee is required to claim a chance-based prize. Ordinary account or subscription fees, if relevant to a Promotion, remain governed by the applicable product terms.
b. For any Promotion in which the value of a prize or other benefit provided to a Participant equals or exceeds the applicable IRS reporting threshold, Sponsor will issue an IRS Form 1099 as required by law and may request the Participant to complete an IRS Form W-9 or similar tax documentation.
c. No transfer, substitution, division or splitting of any amounts paid under a Promotion is allowed.
d. Decisions of Sponsor are final with respect to all matters related to the conduct of a Promotion.
e. By participating in a Promotion, Participants agree to be bound by the Official Rules for such Promotion.
f. If any provision of the Official Rules is held to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Official Rules will remain in full force and effect.
10. PRIVACY / USE OF PERSONAL INFORMATION: By participating in a Promotion, each Participant acknowledges that Sponsor and its authorized service providers will collect, use, retain, and disclose personal information as reasonably necessary to administer, secure, verify, and fulfill the Promotion and as described in Sponsor’s Privacy Statement, available at https://privacy.greenlight.com/policies. Each Participant acknowledges that he/she has been provided access to the Sponsor’s Privacy Statement. The Sponsor’s Privacy Statement is in addition to those terms in the Official Rules concerning privacy, use of personal information, and publicity. Participants may be offered the optional opportunity to receive coupons, newsletters, informational materials, marketing communications, or other special promotions, or other offers from Sponsor. Participants will not be contacted for marketing purposes unless he or she has provided express consent. Any marketing communications sent to a Participant in connection with a Promotion will comply with applicable law, including the CAN-SPAM Act and the Telephone Consumer Protection Act, and a Participant may opt out of future marketing communications at any time using the instructions provided in such communications. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET.
