Pay Link Terms of Use

PLEASE READ THESE PAY LINK TERMS OF USE CAREFULLY BEFORE USING THE PAY LINK FUNCTIONALITY.

The pay link functionality is made available to Primary Accountholders (e.g., parents or legal guardians) and Secondary Cardholders (e.g., kids and teens) in the Greenlight Prepaid Mastercard Program. The Greenlight Prepaid Mastercard is issued by Community Federal Savings Bank (“CFSB” or the “Bank”) and is governed by the terms and conditions of the CFSB Cardholder Agreement (“Cardholder Agreement”). The pay link functionality provides a simple way for friends, relatives and third parties (other than a Primary Accountholder or Authorized Approver) to (i) send gifts or provide for the payment or reimbursement of money owed for personal, family or household purposes (each, a “Consumer Payment”) to a Secondary Cardholder’s  Greenlight Account (each, a “Secondary Account”);  and (ii) pay a Secondary Account for the purchase or lease of items or services from the Secondary Cardholder (each, a “Purchase Transaction”).  Some examples of Consumer Payments under clause (i) include a payment to a Secondary Cardholder for a gift or to reimburse him/her for the cost of a shared meal, and some examples of Purchase Transactions under clause (ii) include a payment to a Secondary Cardholder for baby-sitting, mowing the grass, or walking the dog. If a Primary Accountholder has toggled on the Pay Link sharing button in the Secondary Cardholder’s profile settings page, then the Primary Accountholder or a Secondary Cardholder can use the Greenlight Services (as defined below) to generate a link to a payment acceptance page (each, a “Pay Link”) to share with friends, relatives and third parties in order to enable them to make payments directly to the Secondary Cardholder.  Your use of the Pay Link functionality, the Greenlight website, greenlight.com (the “Website”), the Greenlight application for mobile phone, tablet or other portable device (the “Application”), and the Greenlight Services (as defined below), are subject to your compliance with these Pay Link Terms of Use (the “Pay Link Terms”), and, in the case of Primary Accountholders and Secondary Cardholders, the Greenlight Terms of Service (the “Terms of Service”) and the CFSB Cardholder Agreement.  These Pay Link Terms constitute a legally binding agreement between Greenlight Financial Technology, Inc. (“Greenlight,” “we,” “our,” or “us”) and our wholly owned subsidiaries, on one hand, and you, on the other hand, regardless of whether you are a sender of Pay Link transactions (each, a “Sender”), a Primary Accountholder, or a Secondary Cardholder who is a recipient of a Pay Link transaction.  These Pay Link Terms describe the terms and conditions under which you agree to use the Pay Link functionality. The CFSB Cardholder Agreement and Greenlight Terms of Service describe the services, products, features, functions, technologies, or content offered to Primary Accountholders and Secondary Cardholders on the Website, the Application, and all related sites and applications, regardless of how accessed, including by computer, mobile phone, tablet or any other device (collectively, the “Greenlight Services”). “Greenlight Account” means the non-monetary service account in the Application, established by the Primary Accountholder, through which the Greenlight Services are provided to Primary Accountholders and Secondary Cardholders.  All capitalized, undefined terms appearing in these Pay Link Terms shall have the meaning given those terms in the Terms of Service.  

The Pay Link functionality enables Secondary Cardholders to split the costs of purchases by having a Secondary Cardholder pay for the full cost of the transaction, then send their friends a Pay Link that they can use to submit payment for any amount owed by debit card, credit card, or various payment wallets that we may enable from time to time.  Pay Link functionality can also be used by a grandparent to reward a child for various life achievements such as receiving good grades, being selected for a sports team, or winning an award.  In addition, a Secondary Cardholder can perform services for a neighbor such as babysitting, mowing the lawn, or walking a dog, then send their neighbor a Pay Link that they can use to submit payment for any amount owed by debit card, credit card, or various payment wallets that we may enable from time to time.  There are also a variety of other reasons for a friend or family member to make a payment to a Secondary Cardholder and Pay Link is the perfect vehicle for these payments.

PLEASE REVIEW THESE PAY LINK TERMS CAREFULLY BEFORE USING THE PAY LINK FUNCTIONALITY.  If you are a Sender of a Pay Link transaction or a Secondary Cardholder who receives a Pay Link transaction, you are subject to the terms and conditions of these Pay Link Terms by virtue of sending or receiving a Pay Link transaction. Your use of the Pay Link functionality constitutes your acceptance of these Pay Link Terms.  Greenlight may change these Pay Link Terms at any time with or without notice to you, subject to applicable law. Any changes to these Pay Link Terms shall be effective when posted to www.greenlight.com/pay-link/terms.  If you do not agree with any such changes, please stop using the Pay Link functionality immediately. We reserve the right to change, modify, add to, discontinue, or retire the Pay Link functionality and/or any aspect or feature of the Pay Link functionality at any time. The current Pay Link Terms can be found at www.greenlight.com/pay-link/terms.

Sending and Receiving a Pay Link Transaction. As described above, a Primary Accountholder is required to toggle on the Pay Link sharing button in the Secondary Cardholder’s profile settings page in order to enable the Pay Link feature.  Then a Primary Accountholder or a Secondary Cardholder can use the Greenlight Services to generate a Pay Link to share with friends, family members and third parties in order to enable them to make payments directly to the Secondary Cardholder.  Any Pay Link generated through the Greenlight Services is unique to each Secondary Cardholder and can be used multiple times.  After a Sender completes a Pay Link funding transaction, the Greenlight Application will provide the Primary Accountholder with notice regarding the amount of the transaction and a copy of any message provided by the Sender to the Secondary Cardholder, and the Primary Accountholder will be prompted to approve or decline the Pay Link transaction.  If the Primary Accountholder approves the Pay Link transaction, then the amount of the Pay Link transaction will automatically be deposited into the corresponding Secondary Account.  If the Primary Accountholder declines the Pay Link transaction or if a Pay Link transaction is not accepted by the Primary Accountholder within 60 days, the Pay Link transaction will be cancelled and any transaction amount (less any applicable service fees charged to the Sender) will be refunded to the original Sender. 

INTEREST WILL NOT BE PAID TO THE PAY LINK SENDER OR ANY RECIPIENT FOR ANY VALUE ASSOCIATED WITH A PAY LINK TRANSACTION. THERE IS NO DEPOSIT ACCOUNT ASSOCIATED WITH EACH PAY LINK TRANSACTION UNTIL IT IS ACCEPTED BY THE PRIMARY ACCOUNTHOLDER AND DEPOSITED INTO A SECONDARY ACCOUNT. THE VALUE ASSOCIATED WITH THE PAY LINK TRANSACTION PRIOR TO ITS ACCEPTANCE BY THE PRIMARY ACCOUNTHOLDER MIGHT NOT BE INSURED BY THE FEDERAL DEPOSIT INSURANCE CORPORATION (FDIC).

Fees. Except as described below, there are no direct fees for sending or receiving a Pay Link transaction.  However, your wireless carrier may charge fees for your data usage in connection with your use of Pay Link functionality.  

Limits on the Use of Pay Link Transactions. For security or other reasons and subject to applicable law, we reserve the right to impose limits on Pay Link transactions, including limits on the dollar amount and/or number of Pay Link transactions  that a single Sender can process over a period of time and that a Secondary Cardholder, or all of the Secondary Cardholders linked to the same Primary Account, can receive over a period of time. Pay Link transactions can only be used for a single load of funds to a Secondary Account. The entire balance of the Pay Link transaction will be transferred when the Primary Accountholder approves the transaction. To make subsequent Pay Link transactions, the Sender will need to utilize the same Pay Link, which is unique to each Secondary Cardholder.  We may refuse to process any Pay Link transactions that we believe (i) could be fraudulent or (ii) may violate these Pay Link Terms, the Terms of Service or applicable law. As a condition of your use of the Pay Link feature, Greenlight Services, the Website, and/or the Application, you represent, warrant and covenant that you will not use the Pay Link feature, Greenlight Services, the Website, and/or the Application for any purpose that is unlawful or prohibited by these Pay Link Terms. 

We may, in our discretion and at any time, impose limits on the dollar amount and/or the number of Pay Link transactions that a Sender can process and that a Secondary Cardholder, or all of the Secondary Cardholders linked to the same Primary Account, can receive.  In fact, Greenlight constantly evaluates these variables and may change one or more of these variables from time to time in order to proactively protect consumers, including the participants in Pay Link transactions, against fraud. 

Pay Link transactions are currently subject to the following minimum and maximum transaction limits, which are subject to change at any time, regardless of whether or not we notify you of such changes by posting amendments to these Pay Link Terms at www.greenlight.com/pay-link/terms.  Please note that only a subset of consumers will be able to process Pay Link transactions using all of the maximum limits below due to our dynamic risk and fraud filters that will typically act to lower certain limits for both Senders and recipients of Pay Link transactions.

1 A “New Card Account” means any Primary Account, or Secondary Account linked to a Primary Account, where the Primary Account has been opened (e.g., registration complete) for 30 days or less.

2 “Month” means a rolling 30-day period.

3 A “Tenured Card Account” means any Primary Account, or Secondary Account linked to a Primary Account, where the Primary Account has been opened (e.g., registration complete) for more than 30 days.

4 “Family” means the Primary Account, plus up to five Secondary Accounts, which are linked to the same Primary Account.

Any limitation on Pay Link transactions will not otherwise affect your rights and obligations under these Pay Link Terms.

Refunds. Once a Primary Accountholder has approved a Pay Link transaction for a Secondary Cardholder, Greenlight and CFSB will typically not be able to refund the Pay Link transaction amount or any applicable service fees. In order for a Sender to request a refund for a Pay Link transaction that hasn’t been accepted by a Primary Accountholder, you must send an email to support@greenlight.com and provide certain identification information as well as information about the Pay Link transaction. We reserve the right to limit or decline refunds if fraud is suspected.  However, in some cases where the Pay Link transaction funds are still available, we may actually process a refund to the original form of payment if necessary to remedy a fraudulent Pay Link transaction and compensate the victim of the fraud. We will automatically process a refund to you if the Pay Link transaction is declined by the Primary Accountholder or if it is not accepted by the Primary Accountholder within sixty (60) days of purchase.

Sender Representations and Warranties. By funding a Pay Link transaction, the Sender represents and warrants to Greenlight that: (i) you are at least 18 years of age; (ii) you are a U.S. citizen or legal alien residing in the United States or Puerto Rico; (iii) any and all personal information that you provide to us in connection with the Pay Link transaction is true, correct, and complete; and (iv) you have received and reviewed these Pay Link Terms and the Terms of Service and agree to be bound by and to comply with each of them.

Information Collection; Tax Filings. In order to use the Pay Link functionality, you must have access to the Internet and the Sender may be required to provide certain identification information, such as your name, residential street address, payment information, phone number, and email address at the landing page accessed through the Pay Link.  We will use the information to identify the Sender, to process your Pay Link transaction and also to provide you with offers for additional products and services. Please see our Privacy Statement for further information. You agree that we may monitor and record your telephone and electronic communications with us at any time, without further notice to you or any party to the communication.

When a Sender signs up to initiate a Pay Link transaction, the Sender will be requested to check a box to confirm whether the Sender is paying for an item or service from the Secondary Cardholder (a.k.a., Purchase Transaction).  If the Sender checks the box to indicate a Purchase Transaction, then you are representing and warranting to us that the Pay Link transaction is for a Purchase Transaction.  If you do not check the box for this option, then you are representing and warranting to us that the Pay Link transaction is for a Consumer Payment.  We will track the dollar amount of Purchase Transactions made to each Secondary Cardholder, and, if necessary, either Greenlight or the Bank will make all necessary tax filings, including, without limitation, Form 1099-K filings with the IRS in the name of the Primary Accountholder if the aggregate amount of Purchase Transactions for each Secondary Cardholder associated with the same Primary Accountholder exceeds $600, or any future limit established by the IRS.  

Intellectual Property Ownership.  We retain all right, title, and interest (including all copyright, trademark, patent, trade secrets and all other intellectual property rights) in the Pay Link services, our Greenlight Services, the Website, and the Application, as well as our trademarks, service marks, designs, logos, URLs, and trade names that are displayed in connection with any Pay Link services, our Greenlight Services, the Website, and the Application.

Privacy. PLEASE REVIEW THE PRIVACY STATEMENT CAREFULLY. You agree that we may use your Personal Information in accordance with our Privacy Statement (https://www.greenlight.com/privacy), which is incorporated by reference into these Pay Link Terms.  By using the Pay Link services, the Greenlight Services, the Website, and/or the Application, you acknowledge and agree that perfect security does not exist, internet transmissions may not be secure, and that a third party may intercept information that you provide to or receive from the Pay Link web page, the Website and/or the Application, despite our efforts to protect any such transmissions. 

Disputes with Issuers or Third Parties. We are not responsible for the delivery, quality, safety, legality, or any other aspect of any accounts, products, or services provided by issuers or other third parties. You must resolve all issues and disputes related to such accounts, products, and services with the applicable issuer or other third party. We are not responsible for any late fees, overdrafts, overlimit fees, declined transactions, service terminations, or any other losses if your Pay Link transaction exceeds the balance or limit set on your payment account.

Governing Law/Jurisdiction. These Pay Link Terms and any Greenlight Services provided hereunder will be governed by and construed in accordance with the laws of the State of Georgia, without regard to any laws that would direct the choice of another state’s laws and, where applicable, will be governed by and construed in accordance with the federal laws of the United States. You consent and submit to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia with respect to all controversies arising out of or in connection with the use of the Pay Link services and these Pay Link Terms that are not subject to arbitration or to any proceedings to enforce the arbitration provision or to confirm or vacate an arbitration award.

Delay of Rights. Greenlight can waive or delay enforcement of any of its rights under these Pay Link Terms without losing them.

Entire Agreement. These Pay Link Terms and the Terms of Service set forth the entire understanding and agreement between you (Sender, Primary Accountholder and Secondary Cardholder) and us, whether written or oral, with respect to the Pay Link services and supersede any prior or contemporaneous understandings or agreements between you and us with respect to the Pay Link services.

Severability. If any of the terms and conditions of these Pay Link Terms are invalid, or declared invalid by order of court, regulatory authority, or change in applicable law, the remaining terms and conditions of these Pay Link Terms will not be affected, and these Pay Link Terms will be interpreted as if the invalid terms had not been included in these Pay Link Terms.

Disclaimer of Warranties. EXCEPT AS EXPRESSLY OTHERWISE PROVIDED IN THESE PAY LINK TERMS, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND TO YOU, WHETHER EXPRESS OR IMPLIED, REGARDING THE PAY LINK SERVICES AND THE GREENLIGHT SERVICES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES REGARDING THE AVAILABILITY OR OPERATION OF THE PAY LINK SERVICES AND THE GREENLIGHT SERVICES OR ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE PAY LINK SERVICES AND THE GREENLIGHT SERVICES IS AT YOUR OWN RISK.

Limited Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CFSB AND GREENLIGHT (INCLUDING OUR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS), AND OUR RESPECTIVE AFFILIATES, SUBSIDIARIES, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU FOR: DELAYS OR MISTAKES RESULTING FROM ANY CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOVERNMENTAL AUTHORITIES, NATIONAL EMERGENCIES, INSURRECTION, WAR, OR RIOTS; LOSS OF PROFITS, DATA, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES; THE FAILURE TO PERFORM OR PROVIDE SERVICES; COMMUNICATION SYSTEM FAILURES OR ANY FAILURES OR MALFUNCTIONS ATTRIBUTABLE TO YOUR EQUIPMENT, INCLUDING YOUR MOBILE PHONE OR OTHER DEVICE, ANY INTERNET SERVICE, ANY MOBILE PHONE NETWORK OR ANY OTHER COMMUNICATION NETWORK, OR ANY PAYMENT SYSTEM. WITHOUT LIMITING THE FOREGOING LIMITATION OF LIABILITY, IN THE EVENT THAT WE ARE HELD LIABLE FOR DAMAGES TO YOU IN A COMPETENT LEGAL PROCEEDING, YOU WILL ONLY BE ENTITLED TO RECOVER YOUR ACTUAL DAMAGES. IN NO EVENT SHALL YOU BE ENTITLED TO RECOVER ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXTRAORDINARY, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES (WHETHER IN CONTRACT, TORT OR OTHERWISE), EVEN IF YOU HAVE ADVISED US OF THE POSSIBILITY OF SUCH DAMAGES. THIS PROVISION SHALL NOT BE EFFECTIVE TO THE EXTENT OTHERWISE REQUIRED BY APPLICABLE LAW. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOUR RECOVERY FOR ANY ALLEGED NEGLIGENCE OR MISCONDUCT BY GREENLIGHT OR CFSB SHALL BE LIMITED TO THE TOTAL AMOUNT OF ANY PAY LINK TRANSACTION LOADED ONTO A SECONDARY ACCOUNT.

Indemnification. You agree to defend, indemnify, and hold harmless Greenlight and CFSB, their respective officers, directors, agents, affiliates, subsidiaries, joint ventures, licensees, employees, shareholders, and any third-party partners, from and against all damages, expenses, losses, costs, or any other claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Pay Link Terms, or your violation of any law or regulation, or the rights of any third party.
