IMPORTANT: THESE TERMS GOVERN YOUR ACCESS TO GREENLIGHT’S PIP FEATURE DURING THE PREVIEW PERIOD (AS DEFINED IN SECTION 1). THEY INCLUDE A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 7). TO REMOVE EXPOSED DATA FOUND THROUGH PIP, YOU MUST ENROLL IN THE FULL GREENLIGHT FAMILY SHIELD PLAN, AT WHICH POINT THE FULL GREENLIGHT TERMS OF SERVICE WILL GOVERN ALL SERVICES.

1. What You’re Agreeing To

These Terms of Service (“Terms”) govern your access to the Greenlight Personal Information Protection feature (“PIP” or the “Service”), powered by Array US, Inc. and/or its affiliates (“Array”). “Preview Period” means the period during which Greenlight makes PIP available to you, as communicated in the Greenlight application for a mobile phone, tablet or any other portable device (the “Application”). If you enroll in the Greenlight Family Shield plan, the Application will display the current status of your access, including any applicable end date. If you do not enroll, these Terms govern your access for as long as Greenlight makes the scan feature available. By tapping to check whether your personal information may be exposed, you agree to be bound by these Terms.

If you are an existing Greenlight customer, these Terms supplement your existing Greenlight Terms of Service. In the event of any conflict with respect to PIP, these Terms control. If you are not yet a Greenlight customer, these Terms constitute a standalone agreement governing your PIP access only.

2. What PIP Does — And Doesn’t Do

2.1 What it does

PIP uses Array’s technology to scan for personal information associated with you (such as first name, last name, age, city and state) that is exposed in online data brokerage sites.

2.2 What it does NOT do

  • Directly remove, suppress, or remediate data on your behalf. Upon enrollment in the Greenlight Family Shield Plan, Greenlight will submit data removal requests to data brokers where your information was identified. However, Greenlight cannot guarantee that any particular broker will honor a removal request or that all data will be removed.

  • Provide a complete or guaranteed view of all exposures. Scans rely on currently available data and may not capture all exposed data.

  • Constitute financial, legal, credit, or identity protection advice.

Access Status

Your access to PIP is governed by the Preview Period as communicated in the Application. If your access is time-limited, the Application will display a clear notice of the applicable end date. Greenlight may extend, shorten, or remove any end date by updating the Application and providing notice under Section 9.1.

3. Array and Your Information

Array is Greenlight’s existing partner for credit monitoring, dark web monitoring, and identity restoration services. Array is identified as a service provider in the Greenlight Terms of Service in connection with the Family Shield plan. For PIP, Greenlight will share limited identifying information you provide — such as your name and address — with Array to check against known data brokerage sites. Array’s use of your information is subject to Array’s Privacy Policy (array.com/legal).

Greenlight does not retain the information you submit for the scan or your scan results. The information you enter — first name, last name, age, city, and state — is transmitted to Array to run the scan and is not stored by Greenlight. If you enroll in the Greenlight Family Shield Plan, Greenlight will collect identifying information from you as part of the enrollment process, which will be governed by the Greenlight Terms of Service and Privacy Statement.

Greenlight does not sell your information or share it with Array for marketing purposes. For information about how Array handles data submitted through the scan, including your rights with respect to that data, see Array’s Privacy Policy at array.com/legal.

4. Eligibility

To use PIP you must be at least 18 years of age and a resident of the United States. By using PIP, you confirm you meet these requirements.

5. No Guarantees

PIP scan results are informational only. Greenlight and Array do not guarantee the completeness, accuracy, or currentness of scan results. A result showing no compromised data does not mean your information is fully secure.

Greenlight is not responsible for any harm arising from your reliance on scan results, including decisions made based on whether or not compromised data was identified.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT (INCLUDING ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS), ITS AFFILIATES, SUBSIDIARIES, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR RELIANCE ON PIP, INCLUDING ANY RELIANCE ON SCAN RESULTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENLIGHT’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO PIP OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO GREENLIGHT FOR PIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

You acknowledge that these limitations are a fundamental element of the basis of the bargain and that Greenlight would not make PIP available without them. These limitations are consistent with the Limitation of Liability provisions in the Greenlight Terms of Service, which will govern upon your enrollment in a Greenlight plan.

7. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS. MOST DISPUTES MUST BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT. YOU HAVE THE RIGHT TO OPT OUT WITHIN 30 DAYS — SEE SECTION 7.6.

7.1 Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, excluding its conflict of law provisions, and, where applicable, by the federal laws of the United States. This is consistent with the choice of law in the Greenlight Terms of Service. If you enroll in a Greenlight plan, the Greenlight Terms of Service’s choice of law and forum selection provisions will govern from the date of enrollment.

7.2 Informal Resolution

These Terms are governed by the Federal Arbitration Act. Before initiating any formal dispute process, contact Greenlight at support@greenlight.com (subject line: “PIP Dispute”) with your name, contact information, and a description of the issue. Greenlight will attempt to resolve the dispute informally within 30 days of receiving a complete notice. Completion of this informal process is a precondition to initiating arbitration.

7.3 Binding Individual Arbitration

If informal resolution fails, either party may elect to have the dispute finally and exclusively resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (www.adr.org/consumer), as modified by these Terms. Disputes under $25,000 may be resolved by document submission only. The arbitrator must follow applicable law, and any award may be entered in any court of competent jurisdiction. For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts in Delaware.

7.4 Class and Collective Action Waiver

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, YOU AND GREENLIGHT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE DISPUTE RESOLUTION SECTION OF THESE TERMS (AND ONLY THAT SECTION) SHALL BE NULL AND VOID.

7.5 Arbitration Fees

If Greenlight initiates arbitration, Greenlight pays all AAA administrative fees. If you initiate arbitration, you pay your portion of the initial filing fee; Greenlight pays the remainder of AAA’s administrative fees. If your claim is $10,000 or less, Greenlight will pay all AAA filing fees.

7.6 Right to Opt Out

You may opt out of the arbitration and class action waiver by visiting www.greenlight.com/arbitration/opt-out, completing and signing the Greenlight Arbitration Opt-Out Form, and mailing it to Greenlight within 30 days of the date you first accept these Terms. Your notice must include your full name, mailing address, email address, and cell phone number, and a clear statement that you wish to opt out of arbitration with respect to these Terms. Mail to:

Opting out will not affect any other provision of these Terms. If you subsequently enroll in a Greenlight plan, the opt-out provisions in the Greenlight Terms of Service will apply separately to that enrollment.

8. Relationship to the Greenlight Terms of Service

8.1 Upon enrollment in a Greenlight plan

Effect of enrollment on these Terms

If you proceed to enroll in the Greenlight Family Shield Plan or any other Greenlight plan, the full Greenlight Terms of Service will govern your account and all services from the date of enrollment. These Terms will be supplemented by and read together with the Greenlight Terms of Service. In the event of any conflict between these Terms and the Greenlight Terms of Service following your enrollment, the Greenlight Terms of Service control. No separate acceptance of these Terms will be required at enrollment; your acceptance of the Greenlight Terms of Service at onboarding will govern.

8.2 If you do not enroll

If you do not enroll in a Greenlight plan, these Terms govern your access to PIP for the duration of the Preview Period. Greenlight does not retain any data you submit through PIP.

9. General Provisions

9.1 Amendments and Preview Period changes

Greenlight may update these Terms at any time by posting a revised version at https://greenlight.com/pip-terms. Changes are effective upon posting. Greenlight may also extend the Preview Period, remove any end date, or convert PIP to a permanent feature by updating the Application. Your continued use of PIP after any update constitutes your acceptance of the updated Terms.

9.2 Termination of access

Greenlight may suspend or end your access to PIP at any time. Sections 5 (No Guarantees), 6 (Limitation of Liability), 7 (Dispute Resolution) and 9.3 (Disclaimer of Warranties) survive any termination or expiration of access.

9.3 Disclaimer of Warranties

PIP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. GREENLIGHT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING PIP, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9.4 Severability

If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.
