The Prepaid Subscription functionality is a benefit made available to “Primary Accountholders” (e.g., parents or legal guardians) enrolled in the Greenlight® Prepaid Mastercard Program (the “Program”), and prospective Primary Accountholders who are interested in joining the Program. The Greenlight Prepaid Mastercard is issued by Community Federal Savings Bank (“CFSB” or the “Bank”) and is governed by the terms and conditions of the CFSB Cardholder Agreement (“Cardholder Agreement”). Under the Program, the Primary Accountholder can fund their electronic wallet under the Program (the “Primary Account”) via (i) an ACH load from a bank account, (ii) a debit card load, or (iii) any other load sources enabled by Greenlight and the Bank from time to time, and the Primary Accountholder can request up to five Greenlight Prepaid Mastercard accounts (each, a “Card”) for up to five children or individuals in which the Primary Accountholder serves as the legal guardian or trustee (each recipient of a Card is referred to as a “Secondary Cardholder”). The Prepaid Subscription functionality provides a simple way for friends, relatives and third parties (other than a Primary Accountholder or Authorized Approver) to purchase a monthly subscription, in advance, for any Recipients in the Program. The Prepaid Subscription functionality is solely for personal, family or household purposes, and not for business or commercial purposes. Also, each Prepaid Subscription and associated Card Account qualifies for an exclusion under the CARD Act for general use prepaid cards that are reloadable and not marketed as a gift card or gift certificate (see 12 CFR §1005.20(b)(2)).
Greenlight Prepaid Mastercard Program. Your purchase of a Prepaid Subscription, and your use of the Website, the Greenlight application for mobile phone, tablet or other portable device (the “Application”), and the Greenlight Services (as defined below), are subject to your compliance with these Subscription Terms and the Terms of Service, and, in the case of Primary Accountholders, the CFSB Cardholder Agreement. These Subscription Terms constitute a legally binding agreement between Greenlight Financial Technology, Inc. (“Greenlight,” “we,” “our,” or “us”) and our wholly owned subsidiaries, on one hand, and you, on the other hand, regardless of whether you are a Purchaser of a Prepaid Subscription, or a Recipient of a Prepaid Subscription. These Subscription Terms describe the terms and conditions for the purchase and redemption of a Prepaid Subscription. The CFSB Cardholder Agreement and Greenlight Terms of Service describe the services, products, features, functions, technologies, or content offered to Primary Accountholders and Secondary Cardholders on the Website, the Application, and all related sites and applications, regardless of how accessed (collectively, the “Greenlight Services”). The “Greenlight Account” means the non-monetary service account in the Application, established by the Primary Accountholder, through which the Greenlight Services are provided to Primary Accountholders and Secondary Cardholders. The Greenlight Account does not hold any consumer funds, and any consumer funds related to the Greenlight program are held in the Card Account (as defined below) established and maintained by Community Federal Savings Bank on behalf of the Primary Accountholder. The “Card Account” means the records that Community Federal Savings Bank maintains to account for the value of any loads and claims associated with each Card.
Description of Card Plans. Greenlight currently offers three different Greenlight Account plans and tiers of service to choose from, which correspond with the monthly Card Account fee tiers offered by CFSB (each, a “Card Plan” and collectively, the “Card Plans”). The base level Card Plan with the lowest monthly subscription fee (the “Monthly Fee”) is referred to as the “Greenlight Core Plan,” the mid-level Card Plan is referred to as the “Greenlight Max Plan,” and the Card Plan with the largest number of features is referred to as the “Greenlight Infinity Plan.”
In addition to the three Card Plans listed above that are available for enrollment at any time pursuant to the terms and conditions of the Cardholder Agreement and the Greenlight Terms of Service, there are two other Card Plans, the “Greenlight Select Plan” and the “Greenlight + Invest Plan,” that are restricted by Greenlight and are only available under the limited circumstances outlined in the Terms of Service. The “Greenlight Select Plan” is available by invitation only to certain customers who receive their Card Accounts through referral partners of Greenlight, and typically in connection with incentives or promotions provided by such referral partners. The “Greenlight + Invest Plan” is no longer available to new customers, but currently remains available to any customers with subscriptions to this Card Plan when it was discontinued for new customers.
The current pricing for all five Card Plans – the Greenlight Core Plan, the Greenlight Select Plan, the Greenlight + Invest Plan, the Greenlight Max Plan and the Greenlight Infinity Plan – are set forth in (i) the Cardholder Agreement and (ii) the Fee Disclosures and Load Limits tables available in the “Policy Center” link appearing in the footer of the Website and in the settings of the Application.
As described in the Terms of Service, the Recipient can upgrade or downgrade their Card Plan at any time, but not more often than once each monthly billing cycle. The Recipient can also cancel its Card Account at any time, but the Recipient will not be eligible for a partial refund of the unused portion of the Monthly Fee allocable to the remainder of a monthly billing cycle.
Provided below are the Monthly Fees (and the bi-annual and annual equivalents) for each Card Plan. Please note that other fees may apply and the Monthly Fees set forth below are subject to change at any time. For an up-to-date, complete list of all fees applicable to each Card Plan, you should solely rely on the disclosures included in the Cardholder Agreement.
Prepaid Subscription Purchase Amounts and Processing Fees. A Purchaser can purchase Prepaid Subscriptions in any of the lump sum Prepaid Subscription Amounts listed below, which equate to the approximate number of free months under each Card Plan listed in the chart below. In addition, the Purchaser will be charged a variable processing fee (the “Processing Fee”) based on the Prepaid Subscription Amount as described below.
PLEASE REVIEW THESE SUBSCRIPTION TERMS CAREFULLY BEFORE PURCHASING A PREPAID SUBSCRIPTION. If you are a Purchaser of a Prepaid Subscription or a Recipient of a Prepaid Subscription, you are subject to the terms and conditions of these Subscription Terms by virtue of sending or redeeming a Prepaid Subscription. Your use of a Prepaid Subscription constitutes your acceptance of these Subscription Terms. Greenlight may change these Subscription Terms at any time with or without notice to you, subject to applicable law. Any changes to these Subscription Terms shall be effective when posted to https://greenlight.com/terms_prepaid_subscription. If you do not agree with any such changes, please stop purchasing/sending Prepaid Subscriptions immediately if you are a Purchaser, or stop redeeming any Subscription Codes if you are a Recipient. We reserve the right to change, modify, add to, discontinue, or retire the ability to purchase or redeem Prepaid Subscriptions and/or any aspect or feature of the Prepaid Subscription functionality at any time. Process for Purchasing, Sending and Redeeming a Prepaid Subscription. If you purchase a Prepaid Subscription for a Recipient, the Recipient will need to have a Card Account in good standing before the Recipient can redeem the Prepaid Subscription. If the Recipient has never opened a Card Account, then the Recipient will be required to apply for a Card Account and successfully pass the required identity verification procedures as well as any other Card Account application requirements. If the Recipient previously owned a Card Account and the Card Account was terminated or the Recipient’s Card Account is delinquent due to the non-payment of fees or it contains a negative balance for any reason, then the Recipient will be required to remedy any deficiencies in its Card Account before it will be able to utilize the Prepaid Subscription.
In order to purchase a Prepaid Subscription, the Purchaser needs to (i) click on the Prepaid Subscription purchase link appearing in the main menu when the Purchaser downloads the Application, or (ii) access greenlight.com/purchase-subscriptions either by typing in this URL directly into a browser or clicking on the link appearing in any advertisement for the Prepaid Subscription feature, which will take you to this URL. After the Purchaser enters the Prepaid Subscription order flow, the Purchaser will be required to provide the following information, which is subject to change at any time in the future as reflected in the order flow:
the Prepaid Subscription Amount being purchased (currently $30, $60, $90 or $120);
the preferred method for delivering notice of the Prepaid Subscription to the Recipient (email message or printed message to be delivered separately by the Purchaser);
the full name and email address of the Recipient;
the full name and email address of the Purchaser; and
any personalized message that the Purchaser wants to provide the Recipient in connection with the purchase of the Prepaid Subscription.
After providing the required information described above, the Purchaser will be prompted to tender payment for the Prepaid Subscription Amount that was selected by Purchaser. Once the purchase of the Prepaid Subscription Amount has been processed by Greenlight, the Purchaser will be provided with a subscription code (the “Subscription Code”). If the Purchaser selected “email” as the preferred delivery method for the Prepaid Subscription, then the Subscription Code will be provided via email directly to the Recipient as well as to the Purchaser during the checkout process. If the Purchaser selected “printed message” as the preferred delivery option, then the Purchaser will be able to print out a document containing the Subscription Code, any personalized message, and the directions for the Recipient to redeem the Prepaid Subscription.
In order to redeem a Subscription Code, the Recipient will be required to take the following steps:
Sign up for a Card Account and complete the new account opening process including the identity verification process described above;
Download (and log into) the Greenlight Application;
Go to the “settings” tab in the Greenlight Application and tap the “redeem code” link; and
Enter the Subscription Code at the prompt.
After the Purchaser completes the purchase of a Prepaid Subscription and the Recipient takes all of the necessary steps to redeem the Subscription Code (such date is referred to as the “Code Redemption Date”), CFSB will apply a portion of the Prepaid Subscription to the payment of the next Monthly Fee for the Recipient’s Card Account that occurs at least two business days after the after the Code Redemption Date. On each succeeding Monthly Fee payment date for the Recipient’s Card Account, CFSB shall apply some or all of the remaining balance of the Prepaid Subscription to pay the Monthly Fee (as increased or decreased if the Recipient changes their Card Plan) until the entire Prepaid Subscription Amount has been exhausted. The Greenlight Application will track the unredeemed balance of the Prepaid Subscription Amount until it is exhausted in full and such balance shall be available to the Recipient in the Prepaid Subscription tab of the Greenlight Application.
INTEREST WILL NOT BE PAID TO THE PREPAID SUBSCRIPTION PURCHASER OR ANY RECIPIENT FOR ANY VALUE ASSOCIATED WITH A PREPAID SUBSCRIPTION. THERE IS NO DEPOSIT ACCOUNT ASSOCIATED WITH THE PURCHASE OF A PREPAID SUBSCRIPTION. THE VALUE ASSOCIATED WITH A PREPAID SUBSCRIPTION PRIOR TO ITS ACCEPTANCE BY THE RECIPIENT MIGHT NOT BE INSURED BY THE FEDERAL DEPOSIT INSURANCE CORPORATION (FDIC).
Fees. Except for the Processing Fees charged to the Purchaser for purchasing a Prepaid Subscription as described above, there are no direct fees for purchasing, sending or redeeming a Prepaid Subscription. However, your wireless carrier may charge fees for your data usage in connection with your use of the Greenlight Application to purchase or to redeem a Prepaid Subscription.
Refunds. If the Recipient declines a Prepaid Subscription or if a Subscription Code is not redeemed by the Recipient within 60 days following the Prepaid Subscription purchase date, the Prepaid Subscription (and any associated Subscription Code) will be cancelled and any unredeemed Prepaid Subscription Amount (less any applicable Processing Fees) will be refunded to the original Purchaser. After a Recipient has redeemed a Subscription Code and accepted a Prepaid Subscription, CFSB and Greenlight will not be able to refund the unredeemed balance of a Prepaid Subscription or any applicable Processing Fees to the Purchaser. In order for a Purchaser to request a refund for a Prepaid Subscription that hasn’t been redeemed by a Recipient, the Purchaser must send an email to firstname.lastname@example.org and provide certain identification information as well as information about the Prepaid Subscription transaction, including, in some cases, the Subscription Code. We may also require you to provide your receipt for the purchase of the Prepaid Subscription. We reserve the right to limit or decline refunds if fraud is suspected.
As between CFSB and Greenlight, on one hand, and the Purchaser and Recipient, on the other hand, the full amount of any Prepaid Subscription shall be deemed fully earned when paid. However, if a Recipient cancels their Card Account subscription while there remains an unredeemed Prepaid Subscription balance, CFSB and Greenlight shall maintain the unredeemed balance for a period of six months following the Recipient’s Card Account termination date. If the Recipient renews their monthly Card Account subscription prior to the end of such six-month period, then CFSB and Greenlight will re-instate the unredeemed Prepaid Subscription balance and apply it against the Recipient’s Monthly Fees until the Prepaid Subscription balance is exhausted. If the Recipient doesn’t renew it’s Card Account prior to the expiration of this six-month period, then the entire unredeemed balance of the Prepaid Subscription will be absolutely and forever forfeited by the Recipient.
Fraudulent or Returned Payments for Prepaid Subscriptions. If CFSB or Greenlight reasonably believes that a Prepaid Subscription was purchased through fraudulent means or if the payment for a Prepaid Subscription is reversed, returned or charged back, then CFSB and Greenlight reserve the right to withhold the remaining balance of the Prepaid Subscription and apply it to any actual or reasonably foreseeable losses of CFSB or Greenlight. If CFSB or Greenlight recovers any such losses from the Purchaser, then CFSB or Greenlight shall provide a corresponding credit to the Recipient in the form of the payment of the Recipient’s Monthly Fees until the amount of the recovery is exhausted.
Limits on the Use of Prepaid Subscription. For security or other reasons and subject to applicable law, we reserve the right to impose limits on the purchases of Prepaid Subscriptions, including limits on the amounts of purchases by a single Purchaser or for a single Recipient. Prepaid Subscriptions can only be funded in a lump sum and used to pay a Recipient’s Monthly Fees over time as they come due. We may refuse to process any purchases or redemptions of Prepaid Subscriptions that we believe may violate these Subscription Terms, the Terms of Service or applicable law. As a condition of your ability to purchase or redeem Prepaid Subscriptions, or use the Greenlight Services, the Website, and/or the Application, you represent, warrant and covenant that you will not use the Prepaid Subscription feature, the Greenlight Services, the Website, and/or the Application for any purpose that is unlawful or prohibited by these Subscription Terms.
We may, at our discretion, impose limits on the amount and/or the number of Prepaid Subscriptions that a Purchaser can acquire or a Recipient can redeem.
Any limits on Prepaid Subscriptions will not otherwise affect your rights and obligations under these Subscription Terms.
Your Representations and Warranties. By purchasing a Prepaid Subscription, the Purchaser represents and warrants to Greenlight that: (i) you are at least 18 years of age; (ii) you are a U.S. citizen or legal alien residing in the United States or Puerto Rico; (iii) any and all personal information that you provide to us in connection with the Prepaid Subscription transaction is true, correct, and complete; and (iv) you have received and reviewed these Subscription Terms and the Terms of Service and agree to be bound by and to comply with them.
Information Collection. In order to purchase or redeem a Prepaid Subscription, you must have access to the Internet and the Purchaser or any Recipient may be required to provide certain personal information as described in the Privacy Statement. The privacy statement from the issuer of the Purchaser’s payment device may also apply, depending on the nature of your transaction and the issuer’s own policies. For information on your issuer’s privacy statement, please contact the applicable issuer, as this is outside of Greenlight’s control. You agree that we may monitor and record your telephone and electronic communications with us at any time, without further notice to you or any party to the communication.
Copyrights and Trademarks. We retain all right, title, and interest (including all copyright, trademark, patent, trade secrets and all other intellectual property rights) in the Prepaid Subscriptions, the Greenlight Services, the Website, and the Application, as well as our trademarks, service marks, designs, logos, URLs, and trade names that are displayed in connection with any Prepaid Subscriptions, the Greenlight Services, the Website, and the Application.
Privacy. Our Privacy Statement details the way your information may be collected, used and shared when you use the Greenlight Services, including the purchase or redemption of a Prepaid Subscription. Please carefully review our Privacy Statement (https://www.greenlight.com/privacy), which is incorporated in and subject to these Subscription Terms.
Disputes with Issuers or Third Parties. We are not responsible for the delivery, quality, safety, legality, or any other aspect of any accounts, products, or services provided by issuers or other third parties. You must resolve all issues and disputes related to such accounts, products, and services with the applicable issuer or other third party. We are not responsible for any late fees, overdrafts, overlimit fees, declined transactions, service terminations, or any other losses if your Prepaid Subscription transaction exceeds the balance or limit set on your payment account.
Governing Law/Jurisdiction. These Subscription Terms and any Greenlight Services provided hereunder will be governed by and construed in accordance with the laws of the State of Georgia, without regard to any laws that would direct the choice of another state’s laws and, where applicable, will be governed by and construed in accordance with the federal laws of the United States. You consent and submit to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia with respect to all controversies arising out of or in connection with the use of the Prepaid Subscription services and these Subscription Terms that are not subject to arbitration or to any proceedings to enforce the arbitration provision or to confirm or vacate an arbitration award.
Delay of Rights. Greenlight can waive or delay enforcement of any of its rights under these Subscription Terms without losing them.
Entire Agreement. These Subscription Terms set forth the entire understanding and agreement between you (Purchaser or Recipient) and us, whether written or oral, with respect to the purchase and/or redemption of Prepaid Subscriptions and supersedes any prior or contemporaneous understandings or agreements between you and us with respect to the purchase and/or redemption Prepaid Subscription services.
Severability. If any of the terms and conditions of these Subscription Terms are invalid, or declared invalid by order of court, regulatory authority, or change in applicable law, the remaining terms and conditions of these Subscription Terms will not be affected, and these Subscription Terms will be interpreted as if the invalid terms had not been included in these Subscription Terms.
Disclaimer of Warranties. EXCEPT AS EXPRESSLY OTHERWISE PROVIDED IN THESE SUBSCRIPTION TERMS, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND TO YOU, WHETHER EXPRESS OR IMPLIED, REGARDING THE PURCHASE AND/OR REDEMPTION OF PREPAID SUBSCRIPTIONS AND THE GREENLIGHT SERVICES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES REGARDING THE AVAILABILITY OR OPERATION OF THE PREPAID SUBSCRIPTIONS AND THE GREENLIGHT SERVICES OR ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE PREPAID SUBSCRIPTIONS AND THE GREENLIGHT SERVICES IS AT YOUR OWN RISK.
Limited Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CFSB AND GREENLIGHT (INCLUDING OUR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS), AND OUR RESPECTIVE AFFILIATES, SUBSIDIARIES, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU FOR: DELAYS OR MISTAKES RESULTING FROM ANY CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOVERNMENTAL AUTHORITIES, NATIONAL EMERGENCIES, INSURRECTION, WAR, OR RIOTS; LOSS OF PROFITS, DATA, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES; THE FAILURE OF MERCHANTS TO HONOR THE CARD, OR TO PERFORM OR PROVIDE SERVICES; COMMUNICATION SYSTEM FAILURES OR ANY FAILURES OR MALFUNCTIONS ATTRIBUTABLE TO YOUR EQUIPMENT, INCLUDING YOUR MOBILE PHONE OR OTHER DEVICE, ANY INTERNET SERVICE, ANY MOBILE PHONE NETWORK OR ANY OTHER COMMUNICATION NETWORK, OR ANY PAYMENT SYSTEM. WITHOUT LIMITING THE FOREGOING LIMITATION OF LIABILITY, IN THE EVENT THAT WE ARE HELD LIABLE FOR DAMAGES TO YOU IN A COMPETENT LEGAL PROCEEDING, YOU WILL ONLY BE ENTITLED TO RECOVER YOUR ACTUAL DAMAGES. IN NO EVENT SHALL YOU BE ENTITLED TO RECOVER ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXTRAORDINARY, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES (WHETHER IN CONTRACT, TORT OR OTHERWISE), EVEN IF YOU HAVE ADVISED US OF THE POSSIBILITY OF SUCH DAMAGES. THIS PROVISION SHALL NOT BE EFFECTIVE TO THE EXTENT OTHERWISE REQUIRED BY APPLICABLE LAW. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOUR RECOVERY FOR ANY ALLEGED NEGLIGENCE OR MISCONDUCT BY GREENLIGHT OR CFSB SHALL BE LIMITED TO THE TOTAL AMOUNT OF ANY PREPAID SUBSCRIPTION TRANSACTION LOADED ONTO A SECONDARY ACCOUNT.
Indemnification. You agree to defend, indemnify, and hold harmless Greenlight and CFSB, their respective officers, directors, agents, affiliates, subsidiaries, joint ventures, licensees, employees, shareholders, and any third-party partners, from and against all damages, expenses, losses, costs, or any other claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Subscription Terms, or your violation of any law or regulation, or the rights of any third party.
